$560M acquisition — ~$560M offer value; Year 1 adjusted EPS dilution
ANI Pharmaceuticals earnings beat Q3 expectations, while its Egetis acquisition expands rare disease but cuts Cortrophin guidance and dilutes Year 1 EPS.
ANI is in the middle of a deliberate shift from a mixed generics-and-brands company toward a larger rare-disease platform, with Cortrophin driving the current growth engine and EMCITATE offering a new ultra-rare-disease launch opportunity. The filing materially advances that strategy, but it also shows the cost of pursuing it.
The quarter itself cleared the published bar by a useful margin. Q3 revenue was $290.8 million versus a published consensus of roughly $280.3 million, while adjusted EPS was $2.70 versus about $2.18 expected. Revenue grew 28%, adjusted EBITDA grew 40%, and adjusted EPS grew 32%, with gross margin expanding 260 basis points. The beat was broad rather than dependent on one line: Cortrophin rose 36%, generics rose 10% in the financial table, and the company said gout expansion contributed more to the quarter. 〔0〕
| Metric | 3Q 2026 | 3Q 2025 | Consensus |
|---|---|---|---|
| Total net revenues (Financial Results) | $290.8M (+28%) | $227.8M | ~$280.3M |
| Adjusted non-GAAP EBITDA (Financial Results) | $83.3M (+40%) | $59.6M | |
| Adjusted non-GAAP EPS (Financial Results) | $2.70 (+32%) | $2.04 | ~$2.18 |
| Non-GAAP gross margin (Financial Results) | 61.8% (+260 bps) | 59.2% |
The biggest strategic change is the proposed Egetis acquisition. ANI is offering about $560 million for Egetis, with an estimated net enterprise value of roughly $434 million after Egetis’ expected priority-review-voucher proceeds. The target brings EMCITATE, already approved in the U.S. and Europe for MCT8 deficiency, and gives ANI a second rare-disease commercial launch rather than merely another pipeline asset. 〔1〕
The deal is strategically meaningful but not immediately accretive. ANI expects to fund the purchase with cash and up to $300 million of new debt, producing roughly 2.7x pro forma net leverage. Management also explicitly expects the transaction to dilute adjusted EPS in Year 1 as it invests behind the U.S. launch. EMCITATE has over 100 validated U.S. patients identified and more than 300 patients already receiving the drug globally, but ANI still has to convert that base into commercial prescriptions and secure payer coverage. 〔2〕
The underlying Cortrophin story is strong, but the full-year bar came down. ANI’s Q3 demand indicators improved sharply in gout—new patient cases doubled from Q2 and the new prescriber base grew 67%—yet full-year Cortrophin guidance was reduced to $480–$500 million from $520–$540 million. That is the key offset to the quarterly beat and suggests the company is still working through the conversion of demand into patients actually on therapy.
| Guidance metric (Financial Guidance) | Current 2026 guidance | Prior 2026 guidance |
|---|---|---|
| Total net revenue | $1,085–$1,125M | $1,080–$1,140M |
| Cortrophin Gel net revenue | $480–$500M | $520–$540M |
| ILUVIEN net revenue | $80–$85M | $78–$83M |
| Adjusted non-GAAP EBITDA | $290–$300M | $285–$300M |
| Adjusted non-GAAP diluted EPS | $9.37–$9.71 | $9.19–$9.69 |
Bottom line: This is more than a routine earnings beat: ANI is using its strong current cash generation to accelerate the rare-disease transformation with a sizable acquisition. The strategic payoff is potentially important, but the lower Cortrophin outlook, new leverage, and first-year EPS dilution keep the development modestly positive rather than cleanly bullish.
