Beat — Diluted EPS $0.10 vs ~$0.09 consensus; revenue $657.0M vs ~$610.7M
Privia Health’s Q3 earnings beat consensus, but the bigger signal is a broad 2026 guidance raise and a 36,000-life ACO acquisition.
Privia is expanding a physician-enablement platform built around primary-care networks and value-based reimbursement, with growth increasingly tied to attributed lives and operating leverage rather than just fee-for-service volume. Its prior 2026 setup already included raised guidance and a strategy of adding providers, entering new states, and scaling value-based care.
The quarter beat a modest published bar. Q3 revenue was $657.0 million versus a published consensus of roughly $610.7 million, while diluted GAAP EPS was $0.10 versus roughly $0.09 expected. That is a genuine earnings beat, although adjusted EPS growth was only 10.5% year over year and Adjusted EBITDA rose 6.3%, so the upside was stronger at the revenue and GAAP-profit lines than in underlying quarterly operating growth.
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Revenue (Financial Highlights) | $657.0M (+13.2%) | $580.4M | ~$610.7M |
| Diluted EPS (Income Statement) | $0.10 | $0.05 | ~$0.09 |
| Adjusted EBITDA (Key Metrics) | $40.6M (+6.3%) | $38.2M | |
| Attributed Lives (Key Metrics) | 1.676M (+19.2%) | 1.406M | |
| Adjusted EBITDA Margin (Key Metrics) | 29.4% | 30.5% |
The more important signal is a broad guidance reset upward. Management moved attributed-lives guidance from 1.625–1.650 million to 1.675–1.690 million, Practice Collections to $3.900–$3.950 billion from the prior high-end target of $3.750 billion, and GAAP revenue to $2.500–$2.550 billion from $2.450 billion. Care Margin, Platform Contribution, and Adjusted EBITDA were also raised, with the new $154–$157 million EBITDA range essentially above the prior $145–$155 million range. This is not just a quarterly beat; it says the growth pipeline is arriving faster than the company expected in August.
| FY 2026 updated | Prior FY 2026 guidance | |
|---|---|---|
| Attributed Lives (Guidance) | 1.675M–1.690M | 1.625M–1.650M |
| Practice Collections (Guidance) | $3.900B–$3.950B | $3.650B–$3.750B |
| GAAP Revenue (Guidance) | $2.500B–$2.550B | $2.350B–$2.450B |
| Care Margin (Guidance) | $535M–$540M | $515M–$530M |
| Platform Contribution (Guidance) | $280M–$285M | $260M–$270M |
| Adjusted EBITDA (Guidance) | $154M–$157M | $145M–$155M |
The acquisition adds a tangible 2027 growth leg, not a 2026 earnings boost. Privia paid about $36 million in cash for American Choice Healthcare MSSP, adding more than 36,000 attributed lives across existing and new states beginning January 1, 2027. The filing explicitly says the transaction should have minimal 2026 impact but contribute positively to attributed lives and Adjusted EBITDA in 2027. 〔0〕
The trade-off is that growth remains operationally and cash-flow dependent. Privia is ending its Montana partnership in January 2027, removing 69 providers and roughly $23 million of annual Practice Collections, though management expects no material 2027 EBITDA effect. More importantly, operating cash flow was negative $19.4 million through nine months, largely because receivables absorbed cash, and the company now assumes roughly 70% EBITDA-to-free-cash-flow conversion for 2026 rather than the approximately 80% target disclosed earlier in the year. The balance sheet remains debt-free, but the cash conversion is less clean than the headline earnings growth. 〔1〕
Bottom line: This was more than an in-line quarterly update: Privia beat estimates and raised every major 2026 operating target, while securing a meaningful 2027 value-based-care expansion. The weaker cash conversion and Montana exit temper the picture, but they do not outweigh the clear acceleration in the underlying growth story.
