$1.00 bid-price deficiency — 30 consecutive business days below $1.00; compliance deadline April 27, 2027
Bio Green Med Solution’s Nasdaq notice gives it 180 days to restore the $1 minimum bid price, adding execution risk to its Future NRG merger.
BGMS is trying to pivot from its legacy fire-safety and distribution operations into Future NRG’s medical-waste and clean-technology platform through a proposed all-stock combination; the transaction is already structured to leave existing BGMS holders with less than 1% of the combined company.
The filing adds a real listing hurdle, not a delisting today. Nasdaq says BGMS traded below the $1.00 minimum closing bid for 30 consecutive business days, but the company keeps its listing and receives until April 27, 2027 to regain compliance. 〔0〕
The obvious fix was already embedded in the merger plan, so this is more execution risk than a new strategic problem. BGMS has already sought approval for a 1-for-4 to 1-for-16 reverse split, which could lift the quoted share price, but the vote is not guaranteed and the filing does not establish that the transaction or split will close. 〔1〕
Failure to fix the price would threaten the public-market vehicle that the Future NRG combination depends on. If BGMS remains out of compliance after the available cure periods, Nasdaq can issue a delisting notice, although BGMS would have an appeal right. 〔2〕
Bottom line: This does not derail the Future NRG pivot, but it makes the merger’s reverse-split and shareholder-approval process more consequential. The immediate impact is limited by the 180-day grace period; the business story is modestly weaker because Nasdaq compliance is now another condition BGMS must solve.
