National Healthcare Properties earnings lift SHOP guide as FFO falls

Guidance raised — SHOP same-store Cash NOI guide midpoint raised to 17.5% from 16.5%

National Healthcare Properties earnings show strong senior-housing execution and higher SHOP guidance, offset by sharp per-share FFO dilution and an unfinished OMF exit.

NHP is midway through a deliberate pivot from a mixed healthcare real estate portfolio toward a SHOP-only senior-housing platform, using OMF sales and new unsecured borrowing capacity to reduce secured debt and fund acquisitions. That direction was already public before this release; the new information is the pace of operating improvement and how much dilution remains during the transition.

Senior housing execution is ahead of the prior plan. SHOP same-store Cash NOI rose 13.6% year over year, occupancy improved to 86.7%, and the company raised its full-year SHOP growth range to 16.5%-18.5% from 15.0%-18.0%. The midpoint increase is a real upgrade to the operating story, not just a change in presentation. 〔0〕 〔1〕

The headline earnings figure overstates the improvement. GAAP earnings turned positive and revenue grew, but the REIT’s more useful operating measure weakened per share: normalized FFO fell to $0.19 from $0.27, while diluted shares rose to 73.2 million from 28.5 million. The business is producing more operating cash, but the post-IPO share count means that improvement has not yet translated into per-share growth. 〔2〕

The balance sheet is materially safer, though the transformation is not finished. Net leverage improved to 5.5x from 8.8x a year earlier, preferred-stock redemptions are expected to save about $11 million annually, and the credit facility now offers substantially more unsecured capacity at lower spreads. But the reported quarter still includes a weak OMF same-store result, and the planned OMF exit depends on pending transactions closing; the balance-sheet improvement is therefore partly reliant on execution still ahead.

Bottom line: This is a modestly better operating update for the SHOP pivot: guidance rises and leverage improves, but falling normalized FFO per share shows the benefits are not yet reaching shareholders cleanly. The event matters because execution is improving faster than planned, not because the transition is complete.
