Debt forbearance — $5.246M retained, with another $2.25M due within 60 days
PodcastOne’s debt forbearance provides temporary relief, but the terms reveal a LiveOne liquidity squeeze and add dilution plus repayment costs.
PodcastOne is a growing podcast advertising network inside majority parent LiveOne: it recently reported record quarterly revenue of $16.1 million and adjusted EBITDA of $1.6 million, while LiveOne remains dependent on cash generation and financing to meet its debt obligations.
The filing reveals a capital-structure problem, not an operating update. LiveOne and its subsidiaries obtained temporary lender forbearance over an event of default under the senior secured debentures; the lenders will not exercise remedies only for specified defaults that existed before October 29, 2026. That is materially worse than the prior public story of a growing, increasingly cash-generative PodcastOne. 〔0〕
| Term | Amount / timing |
|---|---|
| Transferred funds retained by lenders | $5.246M |
| Initial payment | $1.000M by November 28, 2026 |
| Additional payment | $1.250M by December 28, 2026 |
| Aggregate amount to remove minimum-cash requirement | $7.500M |
| Shares issued to lenders | 275,000 |
| Minimum exit fee | $1.000M |
| Registration delay damages | 2% per 30 days, capped at 4% |
The relief is conditional on near-term cash extraction. The agent keeps approximately $5.246 million already transferred from the loan parties, while LiveOne must pay another $2.25 million within 60 days. Only after the lenders receive at least $7.5 million in aggregate will LiveOne lose its minimum-cash requirement. 〔1〕
The deal also raises the cost of resolving the debt. PodcastOne issued 275,000 shares as a fee, and LiveOne agreed to pay at least $1 million at maturity or upon a company sale, with additional cash owed if sale proceeds exceed $50 million. The registration obligation can create further cash penalties if the resale registration statement is late. 〔2〕
The operating business may be improving, but the parent is consuming that progress to manage debt. The filing does not cut PodcastOne’s revenue or EBITDA outlook, but it shows that recent operating gains have not eliminated the financing pressure around the consolidated company. This is a new deterioration in the balance-sheet story, partially offset by the fact that lenders are granting time rather than immediately enforcing remedies.
Bottom line: This is a clearly negative financing development for PodcastOne’s story: temporary breathing room comes with a disclosed default, $7.5 million of required debt repayment, equity dilution, and added fees. The business still appears to be growing, but its cash-generation progress is being absorbed by LiveOne’s debt burden.
Initial $1M payment due November 28, 2026
