CEO appointed — Permanent CEO starts January 4, 2027; $51.5M in target equity awards
HP’s CEO appointment ends its interim leadership period, hiring former GSK chief Emma Walmsley with a $51.5M equity package.
HP is emerging from a leadership vacuum while trying to reposition its PC, printing and services businesses around AI-enabled devices and the “Future of Work.” Enrique Lores left in February 2026, leaving Bruce Broussard as interim CEO while HP dealt with memory-cost pressure, an AI-PC transition and continued weakness in printing.
The succession problem is now resolved. The filing formalizes Emma Walmsley as CEO, with a January 4, 2027 start date and a board seat effective upon joining. 〔0〕 〔1〕 That is a meaningful improvement over an interim arrangement, but it does not yet prove that a former pharmaceutical and consumer-business CEO is the right operator for a hardware-and-services turnaround. Walmsley’s record is relevant mainly for leading a large-scale transformation, sharpening strategy and rebuilding an operating platform at GSK—not for running a PC cycle.
The board is paying heavily for a reset. Walmsley receives a $1.45 million salary, a target bonus equal to 200% of salary, $21.5 million of fiscal 2027 equity, and another $30 million of sign-on equity. 〔2〕 The package is designed to align her with multiyear EPS and relative-TSR performance, but it also raises the cost of being wrong if the new strategy takes time to show results.
| Compensation item | Amount | Key terms |
|---|---|---|
| Base salary (offer terms) | $1.45M | Annual review; cannot be reduced |
| Target annual bonus (offer terms) | $2.90M | 200% of salary; 0%-200% payout |
| FY2027 equity (offer terms) | $21.50M | 30% RSUs; 70% performance-adjusted RSUs |
| Sign-on equity (offer terms) | $30.00M | 50% RSUs; 50% performance-adjusted RSUs |
| Signing bonus (offer terms) | $2.50M | One-time payment |
| Relocation assistance (offer terms) | $2.50M | Reimbursement cap |
This changes leadership, not yet the operating trajectory. HP’s existing story remains an AI-PC and broader workplace-technology push under pressure from component costs and a structurally challenged printing business. The filing contains no new product roadmap, financial target, capital-allocation change or operating milestone; the business impact therefore depends on what Walmsley does after taking over, not on the appointment itself.
Bottom line: HP has finally replaced its interim CEO with a seasoned transformation executive, which modestly improves the leadership setup. The rich package and lack of operating commitments make this a credible reset—not a demonstrated business inflection yet.
