Guidance reaffirmed — 2026 adjusted EBITDA guide $960M-$1,010M; Q3 margin 56% vs 66%
Diversified Energy’s Q3 earnings reaffirm 2026 guidance, while weaker margins and higher leverage temper the Birch-driven growth story.
Diversified is an acquisition-led owner and operator of long-life U.S. oil and gas assets, now using the pending Birch deal to build a much larger Permian position and expand its cash-generating platform. Birch was already announced as a roughly 35% production and 55% adjusted-EBITDA step-up, so this release mainly tests execution before that transaction closes.
The quarter was operationally stable, but less profitable on a margin basis. Q3 production landed at 1,189 MMcfe/d, broadly within the reaffirmed annual production range, while revenue excluding unsettled-derivative fair-value effects rose 6% year over year to $456.9 million. But adjusted EBITDA fell 10% to $255.5 million and the adjusted EBITDA margin dropped to 56% from 66%, showing that higher underlying revenue did not translate into better quarterly profitability. The company said, “For the three months ended September 30, 2026, Diversified delivered per unit revenues of $4.36/Mcfe(f) ($26.16/Boe) and Adjusted EBITDA Margin(a) of 56%.” 〔0〕

|---|---|---|---|---|
| Adjusted EBITDA (Financial Highlights) | $255.5M (-10.4%) | $285.2M | $782.5M (+11.5%) | $960M-$1,010M |
| Adjusted EBITDA margin (Financial Highlights) | 56% (-10 pts) | 66% | 58% | — |
| Adjusted FCF (Cash Flow reconciliation) | $152.7M (-12.3%) | $174.1M | $426.9M (+16.6%) | ~$440M |
| Net debt / pro forma TTM EBITDA (Leverage reconciliation) | 2.66x | 2.42x | — | 2.0x-2.5x |
The full-year story remains on track, but the quarter itself was not a clean positive. Nine-month adjusted EBITDA and adjusted free cash flow are ahead of last year, and the company reaffirmed its $960 million-$1.01 billion EBITDA and roughly $440 million free-cash-flow outlook. However, Q3 adjusted free cash flow declined because divestiture proceeds were much lower than a year ago, while leverage at 2.66x sits above the stated 2.0x-2.5x target range. The release explicitly says, “The Company is reiterating its previously announced Full Year 2026 guidance.” 〔1〕
Birch remains the main source of upside, but it is not yet part of reported guidance. The acquisition is still expected to close in Q4 2026 and its production, cash flow, and financing effects are excluded from the current guidance. That makes the long-term growth narrative intact, but still dependent on closing and integration rather than demonstrated in this quarter’s reported numbers. The company says, “The Birch acquisition is not included in the guidance figures below and remains on track to close during the fourth quarter 2026.” 〔2〕
Bottom line: This is a mixed execution update rather than a fresh acceleration: the annual plan and Birch timetable hold, but weaker Q3 margins and above-target leverage make the near-term operating picture less clean than the growth narrative suggests.
