$500M refinancing — 5.900% notes replace 3.450% notes due November 15, 2026
Wabtec’s debt refinancing retires its 2026 notes and extends maturity to 2037, but the new 5.9% coupon raises annual interest expense.
Wabtec is a rail-equipment and aftermarket-services company in an expansion phase, with 2026 revenue and earnings guidance recently raised while debt remains elevated after acquisition and growth spending. At September 30, 2026, it reported $6.38 billion of total debt and $0.49 billion of cash; the new notes were already announced and priced before this closing.
This removes a near-term refinancing deadline, not a funding gap. Wabtec completed the sale of $500 million of senior notes due February 25, 2037. The proceeds, supplemented by revolver, short-term borrowing and/or commercial-paper funding, are intended to repay the 3.45% notes maturing on November 15, 2026. 〔0〕
The trade-off is clearly higher financing cost. The new 5.900% coupon implies roughly $29.5 million of annual interest on $500 million, versus about $17.25 million on the retiring 3.45% notes—an estimated $12.25 million increase before considering the supplemental borrowings. The filing therefore improves maturity visibility but does not improve leverage or funding economics.
| New notes | 2026 notes | Maturity | |
|---|---|---|---|
| Principal (Item 1.01) | $500M | $500M | — |
| Interest rate (Item 1.01) | 5.900% | 3.450% | — |
| Annual interest (calculated) | $29.5M | $17.25M | — |
| Due date (Item 1.01) | — | — | February 25, 2037 vs November 15, 2026 |
The event is largely confirmation. The offering, coupon, maturity and intended use of proceeds were disclosed when Wabtec announced pricing on November 2, so the closing adds execution certainty rather than a new strategic development.
Bottom line: Wabtec has term-funded an upcoming maturity and bought more than a decade of runway, but at a meaningfully higher interest rate. Because the refinancing was already expected, it leaves the business story broadly unchanged rather than creating a new signal.
