Guidance raised — AFFO floor raised to $0.83 from $0.82; transaction-volume floor to $750M from $700M
Global Net Lease earnings show Modiv integration and office reduction advancing, while AFFO declines and leverage temporarily spikes.
GNL is in the middle of a portfolio reset: moving away from office assets and toward industrial real estate, with the Modiv acquisition as the centerpiece. That direction was already public; Modiv was announced as a roughly 4% AFFO-per-share-accretive, leverage-neutral transaction, while earlier 2026 plans called for office sales and capital redeployment into industrial assets.
The main new signal is a modestly higher outlook, not a clean quarterly beat. GNL raised the low end of full-year AFFO-per-share guidance to $0.83 from $0.82 and lifted the low end of gross transaction-volume guidance to $750 million from $700 million, while leaving leverage guidance unchanged at 6.5x–6.9x. The business is executing well enough to improve its full-year framework, but the move is incremental rather than a major reset. The filing says, “we believe our portfolio’s strong performance and continued progress support raising the low end of our full-year AFFO per share and gross transaction volume guidance ranges.” 〔0〕

Modiv is advancing the portfolio transformation, but the earnings contribution is not yet fully visible. GNL closed the $535 million acquisition in August, taking industrial assets to 51% of portfolio straight-line rent and extending the portfolio’s weighted-average lease term to 6.3 years. The quarter includes only a partial period of Modiv earnings, while the debt burden reflects the full transaction; management therefore says quarterly leverage is temporarily distorted and expects Q4 to provide the cleaner test. The filing says, “Fourth quarter 2026 results will include a full quarter of Modiv’s earnings, providing a more representative measure of leverage.” 〔1〕
The underlying quarter remains weaker than the company’s headline framing suggests. Revenue, Cash NOI and AFFO per share all declined year over year, with office NOI falling to $25.1 million from $29.0 million even as office exposure fell. The reported $58.2 million of impairment charges and $5.3 million of merger and transaction costs also pushed GNL to a $67.1 million net loss attributable to common stockholders. AFFO still covered the $40.4 million of declared common dividends, but the operating trend is not yet one of broad-based growth. The filing says, “AFFO attributable to common stockholders” was $48.3 million for the quarter. 〔2〕
Capital allocation is becoming more selective and more internally funded. GNL repurchased 6.6 million shares for $58.5 million, while reporting $863.3 million of liquidity and $391 million of closed or pending dispositions. That supports the office-reduction and industrial-reinvestment strategy, but much of the disposition pipeline remains subject to closing, and net debt was temporarily elevated to 7.7x quarterly Adjusted EBITDA because of the acquisition timing. The filing says, “we will remain patient when market conditions do not support accretive acquisitions.” 〔3〕
Bottom line: GNL raised its 2026 targets because the Modiv-led repositioning is progressing, but the current quarter still shows falling AFFO and property-level cash flow. This is a modestly better strategic update, not evidence that the earnings turnaround is complete.
