Beat — Non-GAAP EPS $4.01 vs ~$3.62 consensus; revenue $298.7M vs ~$292.7M
SiTime’s Q3 earnings beat revenue and adjusted EPS expectations, with AI-driven CED growth and TPD integration pushing its annualized run rate above $1 billion.
SiTime is transitioning from a precision-timing specialist into a much larger timing platform after adding Renesas’ Timing Products Division, with AI infrastructure driving its core communications, enterprise and data-center business. The TPD acquisition closed July 1, 2026, and prior Q2 guidance already called for roughly $285M–$295M of Q3 revenue, about 68% gross margin and $80M–$85M of operating expenses.
The quarter cleared the bar on both revenue and adjusted earnings. Revenue reached $298.7M, above the prior $285M–$295M guide and the published consensus of roughly $292.7M; non-GAAP diluted EPS was $4.01 versus consensus near $3.62. The beat is not just acquisition accounting: management said core CED revenue grew 202% year over year as AI infrastructure demand continued. 〔0〕
| Metric | Q3 2026 | Q3 2025 | Consensus / prior guide |
|---|---|---|---|
| Revenue (Financial Statements) | $298.7M (+257.4%) | $83.6M | ~$292.7M |
| Non-GAAP diluted EPS (Non-GAAP Reconciliation) | $4.01 | $0.90* | ~$3.62 |
| Non-GAAP gross margin (Non-GAAP Reconciliation) | 70.7% | 58.8% | ~68% ± 1 pt |
| GAAP gross margin (Financial Statements) | 51.6% | 53.5% | — |
| GAAP operating income (Financial Statements) | $8.3M | $(16.0M) | — |
*Prior-year non-GAAP diluted EPS is calculated from the filing’s $23.442M non-GAAP net income and 26.938M diluted shares.
Integration is producing operating leverage, but GAAP profitability remains noisy. Non-GAAP gross margin of 70.7% exceeded the roughly 68% target, while non-GAAP operating margin rose to 43.4% from 18.5% a year earlier. However, GAAP gross margin fell to 51.6% because acquired-intangible amortization and inventory step-up costs added $56.3M to cost of revenue; acquisition-related costs and amortization also kept GAAP net income to only $4.4M.
The business is exiting the quarter at a materially larger scale than before. SiTime said its annualized revenue run rate exceeded $1 billion, while the balance sheet now reflects the acquired platform through $2.16B of intangible assets, $2.00B of goodwill and $1.32B of convertible notes. That makes the result more than a routine post-acquisition quarter: it provides early evidence that the combined business can absorb TPD while still expanding its AI-led core.
The stock split is cosmetic, not a business change. The planned three-for-one split changes the number of shares and per-share trading denomination, but does not alter ownership economics, cash generation or the operating outlook.
Bottom line: This is a genuine earnings beat that strengthens SiTime’s combined-company story: TPD added scale without obscuring strong core AI-related growth, and margins came in better than expected. The main qualification is that GAAP earnings still look thin because acquisition accounting and new financing costs are now prominent in the reported numbers.
