Viasat adopts CEO-linked incentive plan with 4x stock hurdles

2.8M PSU program — Up to 2.8M PSUs; hurdles from $150 to $300 through 2030

Viasat’s new incentive plan ties up to 2.8 million PSUs to stock-price hurdles through 2030, aligning pay with ambitious value creation but adding potential dilution.

Viasat is in the execution phase of a post-Inmarsat global connectivity build: it is expanding multi-orbit satellite capacity while growing aviation, maritime, government satcom and defense businesses. ViaSat-3 F2 entered service in the Americas and F3 entered service across Asia-Pacific during 2026, giving the company more capacity to pursue that growth strategy.

This creates a much longer-term incentive than ordinary annual pay. The CHRC adopted a four-year PSU program whose value depends on sustained stock-price hurdles, not simply on revenue, EBITDA or annual targets: 〔0〕

Stock-price hurdlePSU achievementPerformance period
$15050%Through Dec. 31, 2030
$18862.5%Through Dec. 31, 2030
$22575%Through Dec. 31, 2030
$26387.5%Through Dec. 31, 2030
$300100%Through Dec. 31, 2030

The alignment is meaningful, but the filing is only a framework today. No awards have been granted yet; approval is expected in December, with a significant portion likely going to CEO and Chairman Mark Dankberg. 〔1〕 That makes the immediate business impact limited, while the eventual award size, recipient split and detailed terms remain unresolved.

The hurdles are genuinely demanding relative to the starting point, which keeps the signal modestly positive. The filing sets the hurdles at roughly two to four times the $74.11 closing price used as the baseline, and awards require continued service through 2030. This is stronger alignment than a routine time-based grant, though the maximum 2.8 million PSUs would represent roughly 2% of shares outstanding based on the latest proxy share count, creating potential dilution if the highest hurdle is achieved.

The plan supports retention during a strategically important buildout, but it does not prove the operating plan is working. Viasat already had a multi-year performance-pay structure, and its current business story still depends on converting new satellite capacity and defense, aviation and maritime wins into durable growth and cash flow. The new program raises the stakes for management, but it changes incentives rather than near-term fundamentals.

Bottom line: This is a credible, shareholder-aligned compensation reset with unusually ambitious hurdles, but it is not yet an operating result. It modestly strengthens the execution story while leaving the actual award allocation and potential dilution for December and the 2027 proxy.
