Beat — Diluted EPS $0.24 vs ~$0.08-$0.11 published consensus
Onterris earnings beat expectations on EPS, margins and cash flow as core revenue grew despite lower reported sales. The strategic review remains open-ended.
Onterris is a global environmental-solutions provider navigating the normalization of unusually high emergency-response revenue while trying to grow its recurring consulting and water-treatment businesses, expand margins, restart tuck-in acquisitions, and evaluate strategic alternatives. The prior quarter had already reset the 2026 outlook lower on revenue but higher on margin ambition, while the board-led strategic review was announced on August 5, 2026.
The quarter beat the lowered operating bar. Reported revenue fell because the prior-year period included a $45.4 million emergency event, but revenue excluding that event rose 13.1%, and net service revenue increased modestly. Published Q3 estimates clustered around roughly $197 million-$205 million of revenue and $0.08-$0.11 of EPS; Onterris delivered $203.0 million of revenue and $0.24 of diluted EPS, putting the cleanest surprise in profitability rather than headline sales. The filing states: “Excluding that single recovery event, consolidated revenue increased approximately $23.6million, or 13.1%.”
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Revenue (Third Quarter Results) | $203.0M (+?%) | $224.9M | ~$197M-$205M |
| Diluted EPS (Income Statement) | $0.24 | $0.21 | ~$0.08-$0.11 |
| Adjusted EPS (Adjusted Net Income reconciliation) | $0.56 | $0.36 | |
| Adjusted EBITDA (EBITDA reconciliation) | $35.9M (+6.7%) | $33.7M | |
| Adjusted EBITDA margin (Third Quarter Highlights) | 17.7% (+270 bps) | 15.0% | |
| Operating cash flow (Cash Flow, Liquidity and Capital Resources) | $40.9M (+46%) | $28.1M | |
| Leverage ratio (Cash Flow, Liquidity and Capital Resources) | 2.9x (-0.3x) | 3.2x at Jun. 30, 2026 |
The quality of the beat is operational, not just accounting. Adjusted EBITDA reached a quarterly record and margin expanded to 17.7%, driven by better project mix, lower corporate costs, and stronger Consulting and Treatment profitability. Adjusted EPS also benefited from the reduced share count after the company repurchased 1.6 million shares, so the earnings improvement is partly operational and partly capital-allocation assisted. The filing says: “Consolidated Adjusted EBITDA1 in the third quarter of 2026 was $35.9million, or 17.7% of revenue, compared to $33.7million, or 15.0% of revenue, in the prior-year quarter.”
Cash generation and leverage improved, but the year-to-date picture is less clean. Quarterly operating cash flow jumped 46% and leverage fell to 2.9x, supporting the plan to fund acquisitions and maintain the approximately 2.5x year-end leverage target. However, nine-month operating cash flow was $35.4 million versus $55.5 million a year earlier, partly because of $16.0 million in bonus payments; the quarterly rebound is meaningful, but it has not erased the year-to-date shortfall. The filing states: “Onterris generated $40.9million of operating cash flow in the third quarter of 2026, an increase of $12.8million, or 46%, compared with $28.1million in the prior-year quarter.”
The strategic-review headline is unchanged rather than newly constructive. Onterris says it has contacted multiple strategic and financial parties and has hired advisers, but the review was already public and still has no timetable or transaction. That leaves the potential strategic outcome as an unresolved overlay, not a new business catalyst. The filing says: “The Board has not set a timetable for the conclusion of its process, there can be no assurance that the process will result in any transaction or other outcome.”
Bottom line: This was a genuine earnings beat built on better margins, core-business growth and cash generation, even as reported revenue normalizes lower. It strengthens the standalone operating story, but does not resolve the larger strategic-review uncertainty.
