Miss — Non-GAAP diluted EPS $0.19 vs ~$0.21 consensus
LegalZoom’s Q3 earnings beat revenue expectations, yet a lower full-year EBITDA outlook shows customer acquisition remains costly.
LegalZoom is transitioning from a search-led legal-services funnel toward recurring subscriptions built around AI plus human expertise, while diversifying customer acquisition through partners, affiliates and AI channels. That shift was already visible in the prior quarter, when the company cut its 2026 revenue outlook because customer discovery was moving away from traditional search.
The quarter was operationally mixed, not a clean beat. Revenue of $195.1 million modestly exceeded the published consensus of about $193.8 million, and subscription revenue grew 11% year over year as human-in-the-loop services expanded. But transaction revenue fell 14%, subscription units declined 5%, and non-GAAP diluted EPS of $0.19 was below the roughly $0.21 consensus. The business is growing through higher-value recurring revenue, but not yet through broader customer volume. 〔0〕

The bigger signal is the second consecutive profitability reset. LegalZoom held the full-year revenue midpoint at approximately $800 million, but lowered the Adjusted EBITDA range by $10 million at both ends and reduced the midpoint margin from 24% to 23%. Management attributes more than half of the reduction to channel-diversification investment, with additional pressure from paid acquisition and expert-service spending. That means the subscription strategy is cushioning demand weakness, but the company is paying more to build the next customer engine.
The balance sheet gives LegalZoom room to fund the transition, but cash conversion weakened. The company ended September with $181.7 million of cash and no debt, while nine-month free cash flow fell 9% year over year and operating cash flow fell 12%. Repurchases also absorbed $103.2 million during the first nine months, so the company remains financially capable of investing, but the new guidance implies those investments will depress near-term profitability.
Bottom line: LegalZoom is making real progress shifting toward higher-value subscriptions, but customer acquisition is still difficult enough to force another EBITDA downgrade. The quarter itself was close to expectations; the lower profit outlook is what weakens the current story.
