Beat — Adjusted EPS $0.28 vs ~$0.22 consensus
TWFG earnings beat third-quarter estimates, while management raised organic growth and adjusted EBITDA margin guidance. The catch: margins and free cash flow declined year over year.
TWFG is building an acquisition-supported U.S. insurance distribution platform around its Agency-in-a-Box network, corporate branches and MGA business. It serves more than 3,000 agencies and is trying to keep growing as insurance pricing moderates, with MGA and acquired operations becoming a larger part of the mix.
The quarter beat the published bar, but the signal is operating momentum rather than a blowout. Revenue was $79.9 million versus a published consensus of about $78.7 million, while adjusted diluted EPS was $0.28 versus roughly $0.22. The underlying business also remained healthy: total revenue rose 24.6% and organic revenue grew 16.6%.
| Metric | Q3 2026 | Q3 2025 | Consensus / prior guidance |
|---|---|---|---|
| Total revenue (Financial statements) | $79.9M (+24.6%) | $64.1M | ~$78.7M consensus |
| Adjusted diluted EPS (EPS reconciliation) | $0.28 (+21.7%) | $0.23 | ~$0.22 consensus |
| Organic revenue growth (Organic revenue reconciliation) | 16.6% | 10.2% | 13–17% prior FY guide |
| Adjusted EBITDA margin (Adjusted EBITDA reconciliation) | 24.4% (-210 bps) | 26.5% | 23–27% prior FY guide |
| Operating cash flow (Cash flow reconciliation) | $10.6M (-29.2%) | $15.0M |
Management raised the quality of the full-year outlook, not the revenue ceiling. Organic revenue growth guidance moved from 13–17% to 15–17%, and the adjusted EBITDA margin range moved from 23–27% to 24–27%; total revenue guidance stayed at $300–$320 million. That says the company is seeing better internally generated growth and expects a firmer profitability floor, but it is an incremental upgrade rather than a wholesale reset. The direction was partly visible after the second-quarter guidance increase, so the new information is mainly the continued execution and higher minimum margin.
The main offset is that reported profitability and cash conversion weakened. Adjusted EBITDA rose 15.0% to $19.5 million, but its margin fell to 24.4% from 26.5% as administrative costs, acquisition-related amortization and growth investments increased. GAAP net income declined to $9.0 million from $9.6 million, while adjusted free cash flow fell to $7.5 million from $12.3 million, primarily because working capital absorbed cash.
The growth mix is becoming more strategically valuable but also more execution-dependent. TWFG MGA revenue rose to $24.8 million from $13.9 million, and MGA represented 20% of quarterly written premium versus 16% a year earlier. That higher-commission-rate mix helped commission income grow faster than written premium, but the falling MGA retention rate and heavier acquisition-related cost base mean the company still has to prove that expansion converts into durable cash earnings.
Bottom line: This was a modestly better-than-expected quarter with a genuine guidance upgrade, supporting TWFG’s growth story. It matters, but the lower margin and weaker cash flow keep it from being a clean, high-conviction step-change in the business outlook.
