Deluxe earnings beat as Celero lifts growth, debt jumps

Beat — Comparable adjusted EPS $1.06 vs ~$0.95 consensus; revenue $553.9M vs ~$532.9M

Deluxe earnings beat Q3 expectations, with Celero accelerating Payments growth and margins. The trade-off: sharply higher debt and acquisition costs.

Deluxe is midway through a deliberate shift from declining Print toward higher-growth Payments and Data, with the July 31 Celero acquisition designed to accelerate that transition. Celero was expected to expand Deluxe’s payments scale and distribution, but also required substantial new borrowing.

The quarter beat the published bar. Comparable adjusted EPS of $1.06 exceeded the roughly $0.95 consensus, while revenue of $553.9 million topped the roughly $532.9 million expectation. That is a genuine earnings beat, not just a favorable comparison with last year.

Q3 2026Q3 2025Consensus
Revenue (Financial Highlights)$553.9M (+2.5%)$540.2M$532.9M
Comparable adjusted EPS (Financial Highlights)$1.06 (+1.9%)$1.04$0.95
Comparable adjusted EBITDA (Financial Highlights)$127.1M (+9.6%)$116.0M
Comparable adjusted EBITDA margin (Segment results)22.9% (+0.1 pts)22.8%
Net debt (Balance Sheet)$1,929.2M$1,392.5M
Free cash flow (Cash Flow statement)$134.9M (+40.7%)$95.9M

The strategic mix shift is showing up clearly in operating results. Merchant Services revenue rose to $135.1 million from $98.0 million, B2B Payments increased to $77.3 million from $73.1 million, and Data Solutions reached $102.9 million from $89.2 million, while Print fell to $238.6 million from $279.9 million. Management said Payments and Data revenue expanded by more than 21%, with Celero contributing during the quarter. 〔0〕

The headline beat comes with a heavier financing burden. GAAP net income dropped 61% to $13.0 million and diluted EPS fell to $0.28, as acquisition-related costs and higher interest expense offset the operating improvement. Net debt rose to $1.93 billion from $1.39 billion at year-end, reflecting the Celero funding; nine-month acquisition payments were $642.9 million and net debt increased by roughly $537 million.

The business is executing better, but the balance sheet now matters more. Comparable adjusted EBITDA increased 9.6%, free cash flow rose 40.7%, and the total comparable margin edged higher, supporting the case that the acquired Payments platform can improve Deluxe’s growth mix. However, the filing’s supplied text does not include the numerical ranges for the “updated 2026 outlook,” so the quarter cannot be judged against the revised full-year guidance beyond noting that management updated it after the Celero closing. 〔1〕

Bottom line: Deluxe beat expectations and provided tangible evidence that Celero is accelerating the Payments-led transformation. The result is meaningfully better operationally, but only modestly so overall because the acquisition has also left the company much more leveraged and GAAP earnings sharply lower.
