ARKO Petroleum earnings miss EPS as guidance edges higher

Miss — Diluted EPS $0.28 vs ~$0.29 consensus

ARKO Petroleum’s third-quarter earnings missed the slim EPS consensus, but stronger cash generation and a modestly higher 2026 guidance range keep the USPP growth story intact.

ARKO Petroleum is a newly public fuel-distribution platform using its IPO-funded balance sheet to expand wholesale scale, build fleet-fueling capacity, and convert ARKO Parent stores into dealer-supplied locations. The USPP acquisition—announced in August—is the central growth step, expected to add roughly 14% to fuel volume and about $30 million of annualized Adjusted EBITDA.

The quarter was a narrow earnings miss, not an operating breakdown. Diluted EPS came in at $0.28 versus a published consensus near $0.29, while revenue of $1.889 billion exceeded the roughly $1.61 billion consensus; the revenue comparison is less useful here because higher fuel prices inflate sales. The underlying operating picture improved: Adjusted EBITDA rose to $41.0 million from $37.4 million and Discretionary Cash Flow rose to $32.3 million from $26.5 million.

The meaningful positive is the guidance increase, though it is modest. APC previously expected approximately $156 million of 2026 Adjusted EBITDA; it now guides to $156 million–$157 million, with the increase tied to year-to-date execution and the expected USPP closing. This is better than a flat outlook, but it is not a major reset of the business trajectory.

The core wholesale business is still relying on network reshaping more than volume growth. Wholesale operating income rose $1.7 million, but the release says comparable-site operating income declined, while fuel gallons sold at supply locations fell to 211.6 million from 220.2 million. The improvement came mainly from dealer conversions and wider fuel margins, not stronger underlying volume demand. APC has now converted 488 ARKO Parent sites since 2024, with roughly 55 more committed or already converted after quarter-end.

Balance-sheet capacity supports the next leg, but USPP remains execution-dependent. Net debt fell to $338 million from $527 million at year-end, and APC reported $715 million of total liquidity. That gives the company room to fund the planned $205 million cash purchase price, but the deal is not yet closed and its projected $30 million EBITDA contribution remains management's forecast rather than reported performance. The acquisition is expected to close in the fourth quarter of fiscal 2026. 〔0〕

Bottom line: This is a mixed quarter: the EPS miss was slight, but cash generation and operating EBITDA improved and guidance edged higher. The filing reinforces APC's expansion story without materially rewriting it; the bigger test is still whether USPP closes and delivers as planned.
