All-stock merger — Shoals holders 65%; more than $100M annual synergies within three years
ARRAY’s merger with Shoals combines solar hardware and electrical infrastructure, targeting over $100 million in annual synergies while shifting control to Shoals holders.
ARRAY is already moving beyond a pure-play tracker business: APA added foundations, AWM added wire management, and its third-quarter presentation showed a $2.6 billion orderbook with new products approaching 60% of the total. The Shoals deal is therefore an acceleration of an existing platform strategy—not a completely new direction.
The merger materially broadens ARRAY’s product platform. The all-stock combination would join ARRAY’s trackers and foundations with Shoals’ electrical balance-of-system products, creating a single supplier across structural and electrical infrastructure. The filing says the transaction “creates an integrated energy infrastructure platform that brings together complementary, market-leading solutions across foundations, trackers, fixed-tilt racking, electrical infrastructure, wire management and power delivery systems.” 〔0〕
The economic case is meaningful, but largely execution-dependent. Management targets more than $100 million of annual Adjusted EBITDA synergies within three years, including $20 million of year-one cost savings and $15 million of year-one cross-selling synergies. The cross-sell opportunity is credible in principle because only about 20% of projects served by the two companies used both product sets, but those savings are targets rather than realized results.
| Figure | Merger terms / outlook | Comparison |
|---|---|---|
| Shoals ownership at closing (Transaction Overview) | 65% basic; 64.5% fully diluted | ARRAY holders: 35%; 35.5% fully diluted |
| 2027 pro forma revenue (Preliminary, Indicative Financial Outlook) | $2.2B–$2.4B | — |
| 2027 pro forma Adjusted EBITDA (Preliminary, Indicative Financial Outlook) | $410M–$480M | Includes year-one synergies |
| Annual synergies within three years (Financial Item) | >$100M | — |
| Preferred Stock redemption (ARRAY Preferred Stock and Balance Sheet) | $317.5M | Nearly $100M lower distributions over five years |
| Pro forma net debt / Adjusted EBITDA (Financial Item) | 2.6x at 2026 year-end | <2x estimated at 2027 year-end |
ARRAY shareholders give up control in exchange for scale and a broader growth runway. Shoals shareholders will receive 1.6931 ARRAY shares per Shoals share and own roughly 65% of the combined company, while Shoals CEO Brandon Moss becomes CEO and ARRAY CEO Kevin Hostetler moves to Special Advisor. That is a substantial governance and dilution tradeoff, even though ARRAY remains the legal acquirer. 〔1〕
The balance-sheet package is supportive, but not risk-free. ARRAY keeps its existing debt financing, commits to redeem $317.5 million of preferred stock, and expects preferred distributions to fall by nearly $100 million over five years. At the same time, the combined company begins with estimated net debt of $873.3 million and 2.6x leverage, while the revenue and EBITDA outlook is explicitly preliminary and unaudited. The deal still requires both shareholder approvals, regulatory clearance, Nasdaq listing approval and other closing conditions, with closing expected in the first quarter of 2027. 〔2〕
Bottom line: This is a genuinely business-changing expansion from tracker supplier toward a broader energy-infrastructure platform, with a plausible synergy and cross-selling engine. The tradeoff is that ARRAY holders no longer control the combined company and must wait for integration and approvals to convert the strategy into results.
