Lyell Immunopharma, Inc. (LYEL) · Nov 4, 2026 · Share issuance
$80M private placement — 7,428,040 shares at $10.77; approximately $80.0M gross proceeds
Lyell Immunopharma’s private placement raises $80 million for its CAR-T pipeline, but the funding comes with substantial share dilution.
Lyell is a late-stage clinical CAR-T company advancing ronde-cel through pivotal lymphoma trials and LYL273 through an expanded Phase 1/2 program in colorectal cancer. Before this filing, Lyell reported $228.0 million of cash, cash equivalents and marketable securities, with runway into the third quarter of 2027; the company also recently pushed additional LYL273 data and its FDA End-of-Phase 1 meeting into 2027.
The financing adds useful capital, but it is not a clinical advance. Lyell agreed to sell 7,428,040 shares at $10.77 each, with approximately $80.0 million of gross proceeds. That gives the company more resources to fund clinical development and manufacturing while it waits for 2027 milestones, but the filing does not provide a revised cash-runway estimate or say that the money funds a newly accelerated program.
| Deal terms | Figure |
|---|---|
| Shares issued (Purchase Agreement) | 7,428,040 |
| Purchase price per share (Purchase Agreement) | $10.77 |
| Gross proceeds (Item 3.02) | $80.0M |
| Latest reported shares outstanding (June 30, 2026) | 24.5M |
The cost is substantial dilution. Against the latest reported 24.5 million shares outstanding, the new shares equal roughly 30% of the pre-financing share count, or about 23% of the enlarged base. That is meaningful for existing holders, especially because Lyell already said its cash position extended into Q3 2027; the financing improves flexibility more than it solves an immediate liquidity shortfall.
The transaction is effectively announced, not yet completed. Closing is scheduled for or about November 4, 2026, subject to customary conditions. The shares will initially carry restrictive legends, while Lyell must file a resale registration statement within 30 days after closing and can face cash penalties for registration failures. 〔0〕
Bottom line: This strengthens Lyell’s funding position for its clinical pipeline, but the benefit is tempered by dilution equal to roughly one-quarter of the post-financing share base. It is a modest funding positive, not a change to the underlying clinical story.
