Eagle Nuclear acquisition targets Wyoming uranium, but deal is still non-binding

$0.125/share offer — CAD $0.125 per share, a 92% premium; definitive agreement still pending

Eagle Nuclear’s acquisition agreement adds Wyoming uranium assets through an all-stock deal, but the transaction remains subject to due diligence and a definitive agreement.

Eagle is building an integrated U.S. nuclear platform around its Aurora uranium project and SMR technology, while Noble Plains is advancing early-stage Wyoming uranium properties, including Duck Creek and Shirley Central. The proposed acquisition broadens Eagle’s uranium footprint into Wyoming. Eagle would acquire 100% of Noble Plains in an all-share transaction, adding another U.S. exploration portfolio rather than paying cash or buying a producing asset.

The headline economics are attractive to Noble Plains holders, but the price is not a firm cash valuation for Eagle. The offer is CAD $0.125 per Noble Plains share, representing a stated 92% premium to its October 29, 2026 closing price. The exchange ratio will be fixed using Eagle’s 20-day volume-weighted average price, so changes in Eagle’s share price before closing will not reset the ratio. 〔0〕

This is strategically meaningful but not yet a completed acquisition. The letter gives Eagle 60 days of technical, geological, environmental, title, permitting and regulatory diligence, with the parties aiming to sign a definitive agreement within that period. Until then, either side can walk away under specified conditions, and the transaction still requires shareholder, exchange, court and regulatory approvals.

The main cost is potential dilution and execution risk. Eagle expects to issue up to 5,907,109 shares, equal to 19.9% of its pre-transaction share count, and may need shareholder approval or cash consideration if the calculated exchange ratio exceeds that cap. Eagle will also provide Noble Plains with a secured bridge loan of up to CAD $500,000, which helps fund the target through the process but adds exposure before closing. 〔1〕

Bottom line: This advances Eagle’s uranium consolidation strategy and gives it a second U.S. exploration platform, making it more than routine news. But because the agreement is still non-binding and the assets remain subject to diligence, it modestly strengthens the story rather than rewriting it.
