$1.6B acquisition proposal — All-cash $37/share proposal; non-binding and no definitive agreement
Spectrum Brands’ Empower Brands proposes a $1.6 billion Helen of Troy acquisition, advancing SPB’s separation strategy but adding financing and execution risk.
Spectrum Brands is separating its Home & Personal Care business into the Empower Brands platform with Oaktree as a partner, while looking to build scale through acquisitions; the HPC business itself has been under pressure, with fiscal 2025 sales and adjusted EBITDA both down year over year. Helen of Troy, meanwhile, is pursuing a stabilization and restructuring plan after significant operating disruption.
The bid advances SPB’s stated separation strategy, but does not complete it. Empower Brands has made a public, all-cash proposal for 100% of Helen of Troy at $37 per share, implying roughly $1.6 billion of enterprise value, and says the combination would add scale, operating expertise and investment capacity.
The strategic direction is more meaningful than the transaction certainty. An affiliate already owns about 4.5% of Helen of Troy, and the offer rose from $34 per share on August 19 to $37 on October 12, showing persistence and willingness to improve terms. 〔0〕 But this remains a non-binding approach: there is no definitive agreement, Helen of Troy has not agreed to engage, and Empower has not yet completed due diligence.
The financing structure limits direct parent-level balance-sheet exposure, but execution risk remains real. Empower says debt would be non-recourse to Spectrum Brands and that the final agreement would have no financing contingency, yet the funding plan still depends on cash, new equity from SPB and Oaktree, and third-party debt. 〔1〕 The filing itself flags possible dilution, transaction costs, financing availability and failure to achieve synergies, so the potential strategic benefit is not yet an operating result.
The filing is a campaign escalation, not a completed acquisition. Empower is asking Helen of Troy shareholders to pressure the board and says it could finalize a merger agreement in approximately 45 days, but that timetable depends first on board engagement and access to due diligence. 〔2〕
Bottom line: This is a modestly constructive step for SPB’s effort to turn Empower Brands into a larger standalone platform, but the value is still prospective. The proposal advances the story; it does not yet prove the deal can close or create earnings benefits.**
