Nasdaq compliance — $2.5M equity requirement met; $1.03M savings completed, $2M targeted
Polar Power’s restructuring enters Phase 2 after Nasdaq equity compliance, but the $2M savings target is still a plan—not a revenue recovery.
Polar is a financially stressed DC-power manufacturer trying to stabilize after Q2 revenue fell 62% year over year to $1.019 million and the company posted a $1.831 million quarterly net loss; it is simultaneously trying to convert backlog into cash and reduce its fixed-cost base.
The immediate listing threat is eased, but not eliminated. Nasdaq has formally determined that Polar meets the $2.5 million minimum stockholders’ equity requirement, which removes the near-term deficiency. The warning is that compliance must be demonstrated again in the next periodic report, so this is a clearance of the current hurdle—not a durable balance-sheet solution.
The restructuring is moving from completed cuts to execution risk. Phase 1 already delivered approximately $1.03 million of annualized savings, while Phase 2 is expected to pursue facility consolidation, lower fixed overhead and tighter production coordination. Management now targets approximately $2 million in total annualized savings, but the additional savings remain actions still being evaluated and implemented. 〔0〕
This does not yet repair the core operating problem: insufficient revenue. Polar explicitly pairs the cost program with rebuilding sales and scaling production, but the filing provides no new orders, revenue figure or cash-flow improvement. That matters because prior results showed revenue too low to absorb factory overhead, making cost cuts necessary but not sufficient to restore the business.
Bottom line: The filing modestly improves Polar’s standing by removing the immediate Nasdaq deficiency and confirming real cost progress. It is still a stabilization step, not evidence that the company has solved its revenue, liquidity or continuing-compliance problems.
Next periodic report, continuing Nasdaq compliance test
