Debt refinanced — $68M discount; rate reset from 15.0% PIK to 3-month SOFR + 5.50%
Arrowhead’s refinancing replaces its costly Sixth Street debt with a cheaper, longer-dated loan and removes mandatory sweeps of future partnership cash.
Arrowhead is moving from an RNAi developer toward a commercial-stage company built around REDEMPLO while still funding a broad clinical pipeline. REDEMPLO is approved for familial chylomicronemia syndrome, and the company is preparing a supplemental filing for severe hypertriglyceridemia, making financing flexibility more valuable as commercialization costs rise.
The refinancing materially improves the debt economics. Arrowhead retires the existing $400 million facility at a $68 million discount to the contractual minimum repayment amount, while replacing its prior 15% paid-in-kind structure with 3-month SOFR plus 5.50%. The principal amount remains $400 million, so this is not new funding; it is a cheaper and less restrictive liability structure.
| Metric | New facility | Prior facility |
|---|---|---|
| Debt principal (Facility terms) | $400M | $400M |
| Interest rate (Facility terms) | 3-month SOFR + 5.50% | 15.0% PIK |
| Maturity (Facility terms) | Nov. 2, 2031 | Aug. 7, 2031 |
| Mandatory transaction sweeps (Facility terms) | 0 | Required |
The biggest operational benefit is removing the old lender tollbooth on growth. The retired facility required Arrowhead to use portions of future upfront payments, milestones, royalties, and commercial revenue for mandatory repayment; the replacement eliminates those sweeps and removes the earlier 2.0x-to-2.5x minimum-return burden. That gives Arrowhead more control over cash generated by REDEMPLO and partnerships. 〔0〕
This is an improvement to execution capacity, not a reset of the business story. The loan still carries $400 million of senior secured debt, floats with SOFR, and is secured by substantially all company assets; there is also no scheduled amortization, leaving a large principal payment at maturity. 〔1〕
Bottom line: Arrowhead has converted an unusually expensive and restrictive financing arrangement into a cheaper, more flexible one just as REDEMPLO commercialization becomes the central funding test. It strengthens the existing story, but does not change the underlying need to execute commercially and service a still-large secured debt load.
sNDA submission for sHTG, expected before year-end
