Miss — Revenue $25.3M vs ~$25.6M consensus; loss/share $(1.08) vs ~$(0.30) consensus
Lifecore earnings show lower revenue and a sharp GAAP loss, while margin, cost control and new program wins offer only partial offsets.
Lifecore is a sterile-injectables CDMO trying to rebuild growth through new development and technology-transfer programs while carrying a heavily levered balance sheet. Its prior FY26 revenue guide was $120–$125 million and had been reaffirmed before this report.
The quarter missed the financial bar, even before the balance-sheet noise. Revenue fell 19% year over year to $25.3 million, just below the published consensus of roughly $25.6 million, while the nine-month decline reached 22%. CDMO revenue was the main problem, down 18% in the quarter and 29% year to date.
| Q3 2026 | Q3 2025 | Consensus | |
|---|---|---|---|
| Revenue (Financial Highlights) | $25.3M (-18.6%) | $31.1M | ~$25.6M |
| Gross margin (Segment results) | 27.0% (+2.0 pts) | 25.0% | |
| Operating loss (Income Statement) | $(0.9)M | $(3.1)M | |
| Loss/share (Income Statement) | $(1.08) | $(0.29) | ~$(0.30) |
| Adjusted EBITDA (Non-GAAP reconciliation) | $4.0M (+31%) | $3.1M | |
| Free cash flow (Cash Flow summary) | $6.9M | $2.7M |
The core operation improved, but not enough to change the growth picture. Gross margin expanded to 27.0%, operating expenses fell 29%, adjusted EBITDA rose to $4.0 million, and free cash flow improved. Those are real execution gains, and the company also said it secured two technology-transfer projects plus three early-fourth-quarter development programs expected to begin contributing in 2027. 〔0〕 But they are future pipeline wins, not current revenue, and they do not offset the sharp year-to-date CDMO contraction.
The headline loss is inflated by financing structure, but the financing problem is itself material. A $31.3 million quarterly fair-value loss on the related-party debt derivative drove most of the $40.1 million GAAP net loss, so the EPS miss overstates the deterioration in day-to-day plant operations. Still, related-party debt increased to $154.5 million from $135.6 million at year-end, the derivative liability rose to $62.2 million from $26.6 million, and stockholders’ deficit widened to $73.4 million.
The merger now limits how much this quarter can rewrite the equity story. The proposed Webster Equity Partners transaction was already announced on September 27, 2026, so the filing mainly updates the operating business that the buyer is acquiring rather than introducing a new strategic direction. The quarter is weaker than the market’s near-term earnings bar and leaves the turnaround dependent on future program conversions, even though cost control and cash generation were better.
Bottom line: This is a miss for the current business: revenue remains weak and the balance sheet is more strained, while improved margins and pipeline wins are not yet large enough to change that conclusion. The debt-related loss is partly noncash, but the underlying growth gap is real.
