The 8-K recasts fiscal 2025, 2024, and 2023 results to show AMES North America, AMES Australasia, and AMES U.K. as discontinued operations and to present Griffon as a single reportable segment. The underlying transactions had already been announced and, in the case of AMES North America and Australasia, completed before this filing (Item 8.01; Exhibit 99.1 — Recast financial statements).
The filing does not amend or restate the 2025 Form 10-K. Griffon explicitly says the revised presentation is retrospective and intended for future filings, rather than correcting previously issued financial results. That makes the accounting presentation cleaner but does not, by itself, change historical cash flow, profitability, or value creation (Item 8.01).
Against expectations, the incremental information is negligible. The strategic actions and discontinued-operations treatment were already public through the February 5, 2026 announcements and subsequent quarterly reporting, so this 8-K mainly consolidates the revised historical presentation. There are no new quarterly results, guidance changes, capital-allocation actions, or operating surprises to assess.
