Beat — Adjusted EPS $1.91 vs ~$1.71 consensus
Versigent earnings beat adjusted EPS expectations and raised 2026 sales and free-cash-flow guidance, though quarterly cash flow declined.
Versigent is a newly independent electrical-architecture supplier spun out of Aptiv in April 2026, building power, signal and data-distribution systems for automotive and adjacent markets. The standalone-company transition was already known, and its prior quarter had established a pattern of strong adjusted earnings and raised guidance.
The quarter cleared the published earnings bar. Adjusted diluted EPS of $1.91 was above the roughly $1.71 consensus, while sales of $2.45 billion were slightly ahead of the roughly $2.42 billion estimate. The cleaner operating measure was the stronger result: adjusted EBITDA rose 10.9% to $275 million and margin expanded to 11.2%.
| Figure | Q3 2026 | Q3 2025 | Consensus / prior guide |
|---|---|---|---|
| Net sales (Financial Highlights) | $2,450M (+7.2%) | $2,286M | ~$2,420M |
| Adjusted diluted EPS (Adjusted Net Income reconciliation) | $1.91 | $1.81 | ~$1.71 |
| Adjusted EBITDA (Adjusted EBITDA reconciliation) | $275M (+10.9%) | $248M | — |
| Free cash flow (Free Cash Flow reconciliation) | $170M (-5.0%) | $179M | — |
| FY26 net sales guidance (Guidance table) | $9,500–$9,600M | — | $9,400–$9,600M |
| FY26 free cash flow guidance (Guidance table) | $275–$325M | — | $200–$300M |
Management raised the more important forward-looking cash target. The midpoint of full-year sales guidance increased only modestly, from $9.50 billion to $9.55 billion, and the adjusted EBITDA midpoint stayed at $990 million while the range tightened. But free-cash-flow guidance moved materially higher, with the midpoint rising from $250 million to $300 million. That is a genuine improvement to the standalone company’s near-term cash-generation outlook, not just favorable presentation. 〔0〕
The underlying growth picture is less powerful than the headline earnings growth. Reported sales rose 7.2%, but adjusted net sales growth excluding commodity and currency effects was only about 1% amid lower global automotive production. Free cash flow also declined to $170 million as capital spending increased for launch activity, and GAAP diluted EPS fell to $1.41 from $1.54 because the new standalone debt added $36 million of quarterly interest expense. 〔1〕
Bottom line: This was a modestly better-than-expected quarter with a meaningful free-cash-flow guidance raise, but not a clean acceleration story: underlying sales growth remains limited and financing costs are weighing on GAAP earnings. The event strengthens Versigent’s execution narrative without rewriting it.
