Miss — Core adjusted EPS $1.30 vs ~$1.33 consensus
ESAB earnings beat revenue expectations, but core EPS missed and the company cut 2026 EBITDA and EPS guidance as organic growth slowed.
ESAB is in an acquisition-heavy expansion, using EWM and Eddyfi to broaden its welding business into inspection, monitoring and repair, while its underlying organic demand remains low-single-digit. The prior quarter had raised 2026 expectations sharply, including EBITDA guidance to $615–$625 million, so this release is a reversal rather than a routine update.
Revenue execution was better than expected, but mostly acquisition-led. Third-quarter sales reached $824.5 million, above the published consensus of roughly $786.7 million, with core organic growth of 2.3% and acquisitions contributing 11.3% of growth. The organic result was healthy enough, but it does not show a broad acceleration in the underlying business.
| Metric | Q3 2026 | Q3 2025 | Consensus / prior guide |
|---|---|---|---|
| Net sales (Financial Highlights) | $824.5M (+13.3%) | $727.8M | ~$786.7M |
| Core adjusted EPS (Adjusted Net Income) | $1.30 | $1.32 | ~$1.33 |
| Core adjusted EBITDA (Segment results) | $156.1M (+17.0%) | $133.4M | |
| Core adjusted EBITDA margin (Segment results) | 19.8% | 19.4% | |
| 2026 core adjusted EBITDA outlook (Outlook) | $603–$607M | $540M actual 2025 | $615–$625M prior guide |
| 2026 core adjusted EPS outlook (Outlook) | $5.28–$5.33 | $5.27 actual 2025 | $5.40–$5.50 prior guide |
The key change is the profit outlook, not the quarter’s headline sales. ESAB lowered expected 2026 organic growth to 1.6%–2.0% from 2.0%–4.0%, and cut EBITDA and EPS guidance despite raising the expected contribution from acquisitions and currency. 〔0〕 This indicates that the acquired growth is not fully offsetting softer underlying demand and higher costs.
Underlying profitability improved operationally, but earnings per share still missed. Core EBITDA rose 17.0% and margin expanded to 19.8%, which supports the execution story. But higher interest expense, acquisition-related amortization and the new preferred-stock dividend burden reduced the earnings available to common shareholders; core adjusted EPS was $1.30 versus approximately $1.33 expected.
Cash generation and balance-sheet pressure add to the downgrade’s significance. Nine-month adjusted free cash flow fell to $140.9 million from $163.2 million, while long-term debt increased to $2.32 billion from $1.23 billion at year-end, reflecting the acquisition program. The filing therefore shows a company successfully adding scale, but with less organic momentum and more financing drag than the previous outlook implied.
Bottom line: ESAB delivered a good sales and EBITDA quarter, but the more important news is that organic growth is slowing enough to force down full-year profit guidance. The acquisition strategy is advancing, yet the near-term business story is weaker than it was after the prior quarter’s upgrade.
