Debt refinanced — $298.1M term loans mature October 2029; $444.0M working-capital facilities are uncommitted
NESR’s debt refinance extends funding to 2029 and lowers term-loan margins, while tighter covenants and discretionary working-capital lines limit the upside.
NESR is a fast-growing MENA oilfield-services provider, with 2026 growth being driven mainly by Saudi Arabian hydraulic fracturing, well testing and wireline activity. Through June 2026, revenue rose to $925.3 million from $630.5 million a year earlier, while cash increased to $175.0 million and borrowings fell to $274.6 million. The financing problem was already visible: NESR had been working with lenders to refinance and extend its 2021 facilities after revolving capacity expired and available borrowing capacity fell sharply.
The immediate financing risk is resolved, rather than new growth capital being raised. NESR says the new agreement became effective after the conditions precedent were satisfied on October 29, 2026. 〔0〕 The refinancing replaces the existing secured facilities and supports ongoing operations, working capital and capital expenditure—not an acquisition or a fundamental change in strategy.
| Facility / term | 2026 agreement | Prior reference |
|---|---|---|
| Secured term loans (Filing: Facility terms) | $298.1M; maturity Oct. 2029 | $258.0M drawn at Dec. 31, 2025 |
| Revolving credit facility (Filing: Facility terms) | $5.0M | $59.2M capacity before Feb. 4, 2026 expiry |
| Working-capital facilities (Filing: Facility terms) | $444.0M uncommitted | $325.0M facility at Dec. 31, 2025 |
| Total facilities (Filing: Facility terms) | $747.1M | $680.0M at Dec. 31, 2025 |
| Term-loan margin (Filing: Interest terms) | 2.35%–2.60% | 2.60%–3.00% |
The main positive is runway and lower term-loan pricing. The new term debt pushes the stated final maturity to October 2029, replacing a structure whose term loan was scheduled to mature in November 2027, while the term-loan margin falls to 2.35%–2.60% from the prior 2.60%–3.00% range. The filing also adds an accordion of up to $152.9 million, although that capacity requires lender approval.
The headline capacity overstates the certainty of the liquidity improvement. The $444.0 million working-capital component is explicitly uncommitted, meaning lenders can decide whether to make it available; the new revolving facility itself is only $5.0 million. So this is a stronger refinancing package and a restored lender framework, but not $747.1 million of fully committed cash that NESR can automatically draw.
The trade-off is tighter financial control. The new agreement requires maximum Total Net Debt / EBITDA of 2.00, minimum debt-service coverage above 1.25 and minimum interest coverage of 4.00, compared with the prior maximum leverage covenant of 3.50 and similar coverage tests. Dividends, acquisitions, additional debt and asset disposals are also restricted unless covenant conditions are met. 〔1〕 That is manageable against NESR’s improving earnings trajectory, but it leaves less room for an operating setback or aggressive capital allocation.
The sustainability feature is mostly a future reporting and pricing mechanism today. Margin adjustments depend partly on sustainability performance, with the first sustainability calculation date set for January 1, 2027 and the first compliance certificate due by June 30, 2027. 〔2〕 It does not change current liquidity materially, but it creates a new compliance milestone and another potential source of financing-cost adjustment.
Bottom line: This is a modestly positive refinancing because it removes a near-term maturity and capacity problem, extends debt to 2029 and lowers term pricing. It strengthens NESR’s operating runway, but the large working-capital number is discretionary and the tighter leverage covenant keeps the improvement from being transformational.
First 2027 sustainability certificate due June 30, 2027
