Share-swap acquisition — 100% of Target for 464,907 shares
Addentax’s acquisition adds a Hong Kong lending business through a share swap, but the filing gives investors no financials and creates sizable dilution.
Addentax is a small China-focused holding company trying to broaden beyond garment manufacturing and logistics into consulting and financial services; its latest annual filing reported $5.37 million of revenue and a $4.47 million net loss for fiscal 2026, while management has been pursuing a digital-finance expansion. Double Cash Finance is a Hong Kong licensed money lender, so this agreement is directionally consistent with that pivot.
The filing turns that strategy into a signed acquisition agreement. Addentax’s Hong Kong subsidiary will acquire 100% of Double Cash Finance in exchange for 464,907 Addentax shares, rather than paying cash. 〔0〕 That is a real step forward for the finance strategy, but the filing supplies no revenue, earnings, loan-book, or asset data for the target, so investors cannot yet judge whether the acquired business is financially meaningful.
The cost is substantial equity issuance before any demonstrated earnings contribution. Addentax had only 1.03 million shares outstanding at June 30, 2026, making the proposed issuance large relative to its reported share base. The deal therefore advances the business mix while handing the seller a significant new ownership stake; whether that trade is attractive depends on target economics that are not disclosed here.
This is not a completed acquisition yet. Closing still depends on customary conditions and a Nasdaq additional-shares filing. 〔1〕 The transaction’s direction was partly known because Addentax had already described plans to expand into Hong Kong digital finance, but this specific target, structure, and share count are new.
Bottom line: This is a modest strategic advance for Addentax’s finance pivot, not a proven earnings upgrade. The agreement adds a licensed lending platform, but the large share payment and missing target financials keep the impact limited for now.
