Par Pacific Holdings, Inc. (PARR) · Nov 3, 2026 · Earnings
Beat — adj. EPS $10.70 vs ~$6.65 consensus
Par Pacific’s Q3 earnings beat consensus sharply as refining margins surged, renewables turned profitable, and RIN credits added $222 million.
Par Pacific is a western U.S. fuels platform centered on 219,000 barrels per day of refining capacity, with logistics, retail, and a newly commercial renewables business; it is also preparing to monetize its Laramie Energy stake.
The quarter was a clear earnings beat, not merely a strong year-over-year comparison. Adjusted diluted EPS of $10.70 was well above the published consensus of roughly $6.65, while adjusted EBITDA reached $646.0 million versus $372.5 million a year earlier. The filing reported adjusted net income of $531.5 million, compared with $302.6 million in the prior-year quarter.
| Figure | Q3 2026 | Q3 2025 | Consensus / comparison |
|---|---|---|---|
| Adjusted diluted EPS (Adjusted EPS table) | $10.70 | $5.95 | ~$6.65 |
| Net income attributable to stockholders (Income Statement) | $353.3M | $262.6M | |
| Adjusted EBITDA (Non-GAAP reconciliation) | $646.0M | $372.5M | |
| Refining adjusted gross margin (Segment results — Refining) | $752.4M | $450.3M | |
| Cash balance (Balance Sheet Data) | $731.1M | $164.1M | |
| Total debt (Balance Sheet Data) | $496.2M | $802.9M |
Refining drove the upside, with unusually favorable market conditions amplified by compliance credits. Refining adjusted gross margin rose to $752.4 million from $450.3 million, even though throughput fell to 174 Mbpd from 198 Mbpd because of the Hawaii turnaround. Montana was the standout, with adjusted gross margin of $75.92 per barrel, including a $167.2 million SRE benefit; Washington and Wyoming also produced higher margins.
The headline beat overstates the recurring operating improvement. The company recorded $187.2 million of adjusted-net-income benefit and $222.0 million of adjusted-EBITDA benefit from small-refinery exemptions tied to the 2025 RFS compliance year, and expects to monetize excess RINs by year-end 2026. That is meaningful cash generation, but it is not the same as a durable increase in refinery earnings power.
The operating picture outside refining was mixed. Renewables reached its first profitable quarter, producing $5.1 million of adjusted EBITDA, a genuine milestone for the new business. But logistics EBITDA fell to $30.7 million from $37.3 million because the Hawaii turnaround reduced utilization, while retail EBITDA declined to $18.6 million from $21.9 million despite higher fuel volumes. 〔0〕
The balance sheet materially improved, giving Par more flexibility after the windfall quarter. Cash increased to $731.1 million, total debt fell to $496.2 million from $802.9 million at year-end, and the company reported $2.4 billion of total liquidity. Some of the cash benefit came from $387.0 million of working-capital inflows, so not all of the quarter’s cash generation should be treated as recurring.
The Laramie monetization is helpful but not new information. Par still expects roughly $120 million of cash by year-end from selling its 46% interest, with additional deferred consideration and a potential earn-out; the transaction was already announced in August, so the filing mainly confirms the expected timing rather than creating a fresh strategic surprise.
Bottom line: Par Pacific delivered a genuine, substantial earnings beat and strengthened liquidity, with renewables beginning to contribute. The main qualification is that a large share of the upside came from temporary RIN-related benefits and unusually strong refining margins, not purely repeatable operating growth.
