Optimum board adds two directors as restructuring committee gains power

Special committee formed — Two independent directors empowered over restructuring and conflicts

Optimum’s board expansion creates a special committee with authority over financing, restructuring and conflicts—more process, but no transaction yet.

Optimum is a heavily levered broadband operator trying to stabilize its capital structure while facing near-term debt maturities and a broader restructuring effort. Its June 2026 disclosures said the company needed to refinance, restructure, extend or raise capital against debt maturities beginning in 2027, while a separate company announcement described planned discussions with major CSC Holdings creditors.

The filing adds independent oversight to an already-public restructuring process. The board expanded from nine to eleven directors and appointed Elizabeth Abrams and Daniel Silvers as independent directors. Their special committee can evaluate and negotiate financing, restructuring, reorganization and recapitalization transactions, as well as matters involving potential conflicts with related parties. 〔0〕

That is modestly constructive for process, not evidence that the balance-sheet problem is solved. Independent directors with explicit authority should give creditors and minority holders a clearer channel for reviewing transactions involving controlling shareholders, management or advisers. But the underlying restructuring direction was already known, so the new information is mainly who will run the process and how much authority they receive—not a refinancing, recapitalization or agreement.

The economics show this is an active, high-touch mandate. Each new director will receive $75,000 per month, plus additional per-day fees for mediation, arbitration, depositions, court appearances or related preparation. That compensation, together with the committee’s unusually broad remit, signals a potentially prolonged and legally complex process, though it does not itself change Optimum’s debt burden or operating business.

Bottom line: This filing improves the governance machinery around Optimum’s restructuring but does not advance the restructuring itself. It matters as a sign that the process is becoming more formal and independent, not as a substantive financial resolution.
