$125M acquisition — $400M–$450M pro forma revenue vs $70M–$75M standalone 2026 guide
Rockwell Medical’s acquisition of Vantive’s HD business could remake its scale, but the company withdrew 2026 guidance ahead of a mid-2027 close.
Rockwell Medical is emerging from a U.S.-focused hemodialysis-concentrates business whose stated strategy was to build a profitable core, diversify into renal-care products, and eventually pursue more innovative therapies. Its latest standalone 2026 plan called for $70M–$75M of sales, 18%–22% gross margin, $1M–$2M of adjusted EBITDA, and positive operating cash flow.
This is a genuine rewrite of the business story, not a routine expansion. Rockwell has agreed to acquire Vantive’s HD concentrates, machines, water-treatment systems, consumables, technical services, and a one-million-square-foot Italian manufacturing campus. 〔0〕 The deal would move Rockwell from a relatively narrow U.S. concentrates supplier toward a vertically integrated global HD platform, with a roughly 100,000-machine installed base creating potential aftermarket demand for parts, consumables, and service.
| Figure | Current deal | Comparison |
|---|---|---|
| Pro forma annual revenue (Transaction Highlights) | $400M–$450M | $70M–$75M standalone 2026 guide |
| Base purchase price (Financial Terms) | $125M | — |
| Seller-financed term loans (Financial Terms) | $50M + $50M | — |
| Convertible note (Financial Terms) | $25M | 100% premium to 15-day VWAP |
| Contingent consideration (Financial Terms) | Up to $45M | Revenue and EBITDA milestones |
The scale is strategically compelling, but it is still a proposed transaction. The $400M–$450M revenue figure is pro forma and depends on successful integration, market conditions, foreign exchange, and operational performance—not a near-term revenue run rate Rockwell already controls. Closing is expected only in mid-2027 and depends on regulatory approvals, Vantive’s separation work, and other conditions. 〔1〕
Rockwell is taking on meaningful execution and financing risk to achieve the jump in scale. The $125M base price is funded entirely with two seller-financed term loans and a convertible note, with as much as $45M more payable if operating milestones are met. The filing also flags substantially increased indebtedness, international integration, reliance on transition services, carve-out financials, and potential dilution as central risks.
The withdrawal of 2026 guidance is a near-term loss of visibility, not evidence that the legacy business suddenly deteriorated. Rockwell withdrew its sales, margin, adjusted EBITDA, and operating-cash-flow targets because of expected transaction and financing expenses. 〔2〕 That makes the next year harder to judge, but the strategic impact of the acquisition is much larger than the temporary guidance reset.
Bottom line: This agreement changes Rockwell’s ambition and potential scale from a small concentrates company into a global HD platform. The upside is transformational, but realization is deferred until a heavily financed, internationally complex deal closes and integrates.
