Nasdaq compliance restored — Audit committee vacancy filled; Nasdaq Rule 5605 compliance regained
U.S. GoldMining’s new audit chair restores Nasdaq compliance and strengthens oversight, but the appointment does not change Whistler’s development path.
U.S. GoldMining remains a single-asset Alaska exploration and development company advancing its 100%-owned Whistler Gold-Copper Project. Whistler has moved into the advanced PEA stage, while the company is using its 2026 exploration program to expand the resource and de-risk the project after a PEA outlining a $2.0 billion after-tax NPV and 33% IRR at base-case prices.
The immediate issue is fixed: John DeLucchi was appointed to the board and as Audit Committee chair, filling the vacancy that had left the company out of compliance with Nasdaq’s audit-committee requirements. The filing says the company received Nasdaq’s deficiency notice after Aleksandra Bukacheva resigned and “no longer serving as a member of the Board and the Audit Committee,” and now believes it has regained compliance. 〔0〕
The new director improves governance credibility, not project economics: DeLucchi brings more than three decades at PwC, including 21 years as a partner, plus CEO experience and background in financings, risk management, governance, and securities compliance. That is relevant for a company approaching larger financing and development decisions, but the filing announces no new capital, study, drilling result, permitting milestone, or change to Whistler’s plan.
The positive signal is partly anticipated: Nasdaq’s deficiency and the need to restore audit-committee compliance were already disclosed in the September 1, 2026 filing, so the market had reason to expect a corrective appointment. The new information is who was chosen and the fact that compliance has been restored—not a change in the underlying mining story. The compensation package is modest: a $10,000 annual director retainer, a $2,500 audit-chair retainer, and a 10,000-share option at $5.71 per share, with 25% vesting immediately and the remainder over 18 months.
Bottom line: This removes a listed-company governance defect and modestly strengthens oversight, but it does not advance Whistler itself. It is a small repair to the company’s platform, not a new development catalyst.
