$650K private placement — 260,001 shares at $2.50; expected gross proceeds of $650,002.50
Liminatus Pharma’s private-placement financing adds $650,002.50 for working capital, providing modest liquidity without materially changing its early-stage biotech story.
Liminatus is a preclinical immuno-oncology company building a CD47-blocking antibody program and CAR-T pipeline, with no approved products and a cash-consuming development model. Its June 30, 2026 filing showed $3.0 million of cash, a $2.5 million six-month net loss, and substantial dependence on equity financing.
The financing is helpful, but not transformative. Liminatus has agreed to sell 260,001 shares at $2.50 for $650,002.50 of gross proceeds, earmarked for working capital and general corporate purposes. 〔0〕 That amount would represent roughly one-fifth of the $3.0 million cash balance reported at June 30, but only modestly extends the company’s ability to fund operations against its ongoing losses.
The terms look cleaner than a distressed or heavily structured raise. The deal is straight common equity at a fixed price, with no warrants or debt attached in the disclosed agreement. The shares are restricted, and the company must file a resale registration statement within 60 days after closing. 〔1〕 Against the latest reported 67.2 million shares outstanding, the stated issuance is roughly 0.4% dilution, although the company’s broader warrant overhang remains the more important dilution issue.
The cash is committed, not yet in hand. Closing is expected around November 20, 2026, and the agreement can terminate if funding has not been received by December 31, 2026. 〔2〕 That makes this a useful liquidity step rather than a completed balance-sheet reset.
Bottom line: This modestly improves Liminatus’s near-term funding position and does so with limited incremental dilution, but it does not change the central story: the company still needs repeated financing to support an early-stage pipeline with no commercial revenue yet.уд
