Fathom Holdings Inc. (FTHM) · Nov 3, 2026 · Material agreement
Debt extended — 18% interest plus 0.5% weekly fees on November 9, 16, 23 and 30
Fathom’s debt amendment defers interest and adds weekly extension fees, buying time while highlighting continued repayment pressure.
Fathom is a technology-driven real-estate services company spanning brokerage, mortgage, title and SaaS, but it entered this filing with a strained balance sheet: second-quarter 2026 cash was $4.5 million, while the company reported a $14.4 million first-half net loss. Its proposed merger was also terminated on October 5, 2026, leaving the company to manage its debt obligations independently.
This is a standstill, not a financing solution. The holders agreed to defer all accrued and future interest until the notes’ maturity, prepayment, conversion or acceleration, avoiding an immediate payment demand but not reducing the amount owed. 〔0〕
The cost of delay has increased materially. The 18% annual rate remains in place, and the holders now earn a 0.5% fee for each week principal remains outstanding on November 9, 16, 23 and 30. 〔1〕 This gives Fathom a little more time, but it makes the liability grow faster while signaling that repayment or refinancing still has not been completed.
Relative to the standing story, this leans negative. The October 1 amendment had already cut the conversion price, raised interest to 18% and extended the notes’ maturity; this third amendment is therefore partly expected in direction, but the additional weekly fees and continued interest deferral show the problem is still unresolved. The related-party element is disclosed and approved by independent directors, but it does not change the underlying liquidity message. 〔2〕
Bottom line: Fathom avoids an immediate debt crunch, but only by pushing payment out at a very high and rising cost. This modestly weakens the company’s already debt-constrained operating story rather than fixing it.
