ELOC extended — 97% of VWAP; one-day pricing; term through December 31, 2028
Kairos Pharma’s financing now runs through 2028, but today’s clinical update largely repeats October data and adds no new efficacy result.
Kairos Pharma is a cash-burning, clinical-stage oncology company trying to advance ENV-105 through prostate-cancer Phase 2 testing while also running a lung-cancer Phase 1 program. Its June 30, 2026 filing showed $2.6 million of cash and $2.0 million of operating cash use in the first half, making continued financing access central to keeping the trials moving.
The clinical headline is not new on November 3. The company’s October 6, 2026 disclosure already reported median progression-free survival of 17.7 months with ENV-105 plus apalutamide versus 2 months with apalutamide alone, with a reported P-value of 0.0008; the protocol shift toward earlier-line patients was also already public. The current filing mainly documents the presentation of those results, rather than adding a new efficacy result. 〔0〕
The genuinely new business disclosure is a longer financing window, not new cash. Kairos extended its Helena equity line through December 31, 2028, giving the company more time to draw capital while it advances the trials. 〔1〕 But the filing does not disclose a new draw or proceeds, so this is funding availability rather than an immediate balance-sheet improvement.
The amended terms improve access but make future issuance more dilution-prone. Helena can buy shares at 97% of the average VWAP, net of fees, and the pricing period was shortened to a single trading day. 〔2〕 〔3〕 That gives Kairos a more flexible financing tool, but it also leaves shareholders exposed to discounted equity issuance if the company needs to fund the program.
Bottom line: The trial signal remains the strongest part of Kairos’s story, but it was already disclosed on October 6. Today’s filing mostly extends a discounted financing mechanism, helping fund the path forward while adding dilution risk rather than changing the clinical thesis.
Phase 2 trial completion targeted by Q4 2027
