F-4 effective — Stockholder vote scheduled for November 13, 2026
Impact Biomedical’s merger with Zoar clears SEC registration and moves to a November 13 stockholder vote, but closing remains conditional.
Impact Biomedical is trying to pivot from a science-and-licensing platform into a pharmaceutical company through its proposed combination with Zoar, which develops and manufactures active pharmaceutical ingredients, orphan drugs, and contract-manufacturing services. The merger process was already public, and the F-4 had been filed in September with SEC effectiveness, shareholder approval, NYSE American listing approval, and other closing conditions still outstanding.
The transaction cleared an important procedural hurdle, but this is process progress rather than business validation. The SEC declared Zoar’s Form F-4 effective on October 23, allowing the definitive proxy/prospectus to be mailed. The stockholder meeting is now scheduled for November 13, 2026. 〔0〕
The filing does not materially reduce the core closing risk. Stockholders still must approve the deal, NYSE American must approve the listing, and other conditions must be satisfied or waived. 〔1〕 There are also no new operating results, deal economics, financing details, or evidence here that Zoar’s pharmaceutical business will deliver the expected benefits.
Bottom line: This advances the merger toward its decisive vote, so it is modestly constructive versus the prior status. But because the milestone was expected and closing remains conditional, it does not yet rewrite Impact’s business story.
