Debt refinanced — $7.5M repaid; $25M facility retained at prime + 3.5%
Geospace’s debt refinancing keeps a $25 million revolver in place, but the higher rate and lender terms show liquidity management—not business momentum.
Geospace is navigating a sharp operating downturn: revenue fell across its businesses, cash declined by about $24 million through the first nine months of fiscal 2026, and management cut roughly 20% of its workforce while waiting for a roughly $35 million PRM customer payment. The refinancing prevents an immediate liquidity break, but it is defensive rather than strategic. GEOS repaid its $7.5 million Woodforest balance and replaced the facility with another three-year, $25 million revolver.
| Credit terms | New Amerisource facility | Former Woodforest facility |
|---|---|---|
| Revolving availability (Agreement) | $25M | $25M |
| Outstanding balance refinanced (Agreement) | $7.5M | $7.5M |
| Borrowing rate (Agreement) | Prime + 3.5% | SOFR/ABR + 2.75% |
| Maturity / term (Agreement) | 3 years | August 29, 2028 |
| Minimum tangible net worth (Agreement) | $65.0M | $85.0M |
The trade-off is materially more expensive funding for some covenant relief. The new loan charges prime plus 3.5%, alongside a 1% commitment fee, a 0.25% non-usage fee and an 18% default rate; that is a harsher cost of capital than the prior Woodforest pricing, even though the lower tangible-net-worth threshold gives GEOS more room under a stressed balance sheet. 〔0〕 〔1〕
The lender change confirms that liquidity, not growth investment, is the immediate issue. The facility remains secured by substantially all borrower assets, and GEOS had already drawn on its prior agreement to bridge the timing gap before the PRM installment. The new arrangement extends access to capital, but it does not improve weak demand, restore profitability, or reduce reliance on a future customer payment.
Bottom line: This keeps Geospace financed through a difficult operating stretch, but at a higher price and with more defensive terms. It matters as a liquidity bridge, not as evidence that the underlying business has turned.
PRM installment of approximately $35M, expected Q2–Q3 FY2027
