$6.2M warrant exercise — Exercise price cut to $0.20 from $0.3221; approximately $6.2M gross proceeds expected
AEON Biopharma’s warrant amendment lowers the exercise price to $0.20 and is expected to bring in $6.2M, extending funding at a dilution cost.
AEON is a clinical-stage biotech trying to move ABP-450, a proposed BOTOX biosimilar, through the FDA’s 351(k) pathway; the company’s September FDA update gave it a clearer development plan, including an IND submission targeted for the fourth quarter of 2026 and a pharmacodynamic study targeted for the first quarter of 2027.
The filing converts regulatory progress into near-term cash, but only by making the financing cheaper for warrant holders. AEON cut the two-year warrant exercise price from $0.3221 to $0.20, while holders agreed to exercise some of the warrants for approximately $6.2 million in gross proceeds.

The cash is useful because AEON was already funding a costly development program with limited runway. Its latest quarterly filing said the July financing was expected to fund operations into the first quarter of 2027, while additional ABP-450 development would require more funding. The new proceeds therefore support execution, but they do not change the underlying need for additional capital as the program advances.
The concession is the more important signal versus the standing story. The FDA milestone and accelerated warrant expiry were already public; what is new is that AEON had to reduce the strike price by roughly 38% to get holders to exercise before the November 16 deadline. The amendment applies to all outstanding two-year warrants, so it improves immediate liquidity but increases the economic cost of the financing and preserves the dilution burden.
Bottom line: This is a modest funding win wrapped in a financing concession. It keeps ABP-450 moving, but the need to reprice the warrants below their original terms makes the event slightly negative for the broader business story rather than a cleanly positive capital raise.
