Peraso financing closes, boosting runway but adding heavy dilution

$10M financing closed — $10.0M gross proceeds; up to 36.46M warrant shares

Peraso’s financing closes with $10 million in gross proceeds, extending liquidity for its mmWave and drone strategy while adding substantial potential dilution.

Peraso is a cash-constrained fabless semiconductor company trying to shift its growth story from declining memory products toward 60 GHz mmWave connectivity for fixed wireless, defense, autonomous systems, and drones, while still carrying going-concern and capital-raising risk. The financing is now real, not merely announced. Peraso completed the previously disclosed private placement on October 28, 2026, receiving approximately $10.0 million of gross proceeds for working capital and general corporate purposes. 〔0〕 That improves near-term operating flexibility and gives the company more time to develop and commercialize its mmWave and drone communications strategy, but it does not itself demonstrate customer conversion or revenue growth.

At closingMaximum
Common shares issued (Registration Rights Agreement)3,271,355
Pre-funded warrant shares (Private Placement)16,593,563
Common warrant shares (Private Placement)36,458,481
Gross proceeds (Private Placement)$10.0M
Common warrant exercise price (Private Placement)$0.3784

The trade-off is unusually large potential dilution. Alongside the 3.27 million shares issued at closing, the deal includes pre-funded warrants for 16.59 million shares and common warrants for as many as 19.86 million additional shares; in total, the filing says up to 36.46 million shares could be issued upon warrant exercise. 〔1〕 The 19.99% ownership cap limits immediate concentration, but it does not remove the longer-term share overhang. The warrants also carry a $0.3784 exercise price versus roughly $0.50 paid for the financing securities, making future warrant exercise economically more attractive if the shares qualify for exercise.

This is supportive for survival, not a reset of the business case. The market already knew the $10 million investment and its basic security structure from the October 26 announcement; the new information is that closing occurred on schedule and the capital is available. The financing therefore modestly advances Peraso’s standing story by addressing liquidity, but it also confirms that the company is funding its transition through substantial equity-linked issuance rather than internally generated cash.

Bottom line: Peraso secured the capital needed to keep pursuing its mmWave and drone strategy, but the price is substantial potential dilution. This matters for liquidity and runway, not yet for proof that the strategy is commercially working.
