$4.2B acquisition — Two refineries plus marketing assets; 207,000 to 384,000 bpd capacity
CVR Energy’s acquisition of Marathon’s two refineries and marketing platform reshapes the company, adding scale, leverage and new strategic partners.
CVR Energy is a small, two-refinery Mid-Continent operator building a much larger and more diversified refining platform. Before this announcement, it operated roughly 206,500 barrels per day of nameplate capacity across Coffeyville and Wynnewood; the transaction would add St. Paul Park and Mandan and expand pro forma crude capacity to approximately 384,000 barrels per day.
This is a genuine rewrite of the business scale, not a routine asset purchase. CVR is acquiring 100% of St. Paul Park, Mandan, a 17% Minnesota Pipe Line interest, related logistics and a marketing platform reaching up to 590 branded locations for $4.2 billion in cash plus working capital. The assets generated $1.158 billion of LTM EBITDA through September 30, 2026, although that figure reflects unusually favorable refining conditions and is not a normalized-cycle estimate.
| Figure | Transaction / current | Comparison |
|---|---|---|
| Purchase price (Purchase Agreement) | $4.2B | — |
| Crude capacity (Strategic and Financial Benefits) | 384,000 bpd | 207,000 bpd |
| Acquired LTM EBITDA (Financial Data) | $1.158B | $506M in 2025 |
| Pro forma YTD EBITDA (Financial Data) | $2.020B | $913M CVR standalone |
| Estimated annual synergies (Strategic and Financial Benefits) | $70M | — |
| New secured debt (Financing and Capital Structure) | $2.5B | — |
| New equity commitments (Financing and Capital Structure) | $1.3B | — |
The headline economics are powerful but heavily cycle-dependent. CVR presents pro forma nine-month EBITDA of $2.0 billion versus $900 million standalone and pro forma EPS of $7.67 versus $3.73 standalone, but those figures are based on a strong 2026 refining environment and exclude the financing burden. The claimed $70 million of annual synergies adds support, but it is small relative to the purchase price and remains an estimate.
The financing makes this a leveraged transformation rather than a simple growth deal. CVR has fully committed $2.5 billion of new secured debt, while its controlling shareholder has committed up to $500 million and Trafigura is investing $800 million through convertible preferred stock. Existing 2031 and 2034 notes will become secured alongside the new debt, and the 2028 notes will be redeemed. This funds the transaction, but it increases creditor priority claims and introduces future equity dilution.
The transaction also changes who influences CVR and how the assets operate. Trafigura receives exclusive crude-supply and intermediation rights for the acquired refineries for ten years, while Icahn Enterprises receives board-designation, preemptive and registration rights, including the ability to designate six directors while owning more than 50% of common stock. That may improve financing and commercial execution, but it ties the enlarged company more closely to two powerful counterparties.
The market already had part of the news. A report that CVR was nearing a transaction above $4 billion appeared before the formal announcement, so the existence and rough size of the deal were partly known rather than a clean surprise. The new information is the signed agreement, exact financing structure, governance rights, commercial tie-ins and the scale of the operating uplift.
Bottom line: This announcement materially changes CVR from a small two-refinery operator into a much larger Mid-Continent refining platform with meaningful marketing reach and potential earnings scale. The benefit is substantial, but it arrives with much higher leverage, dilution and execution dependence, so the story is transformed rather than simply improved at the margin.
Antitrust clearance and closing expected by end of 2026
