Rising Dragon Acquisition Corp. (RDAC) · Nov 3, 2026 · Agreement terminated
Merger terminated — HZJL merger terminated effective October 30, 2026; no termination fee
Rising Dragon’s merger with HZJL is terminated with no breakup fee, leaving the SPAC to restart its search for a business combination.
Rising Dragon is an empty-shell SPAC that had spent roughly 21 months pursuing the HZJL combination rather than operating a business of its own. Its shareholders had already extended the combination window from July 15, 2026, to as late as October 15, 2027, giving the company more time to complete a deal.
The identified transaction is gone. Rising Dragon and HZJL mutually terminated the January 27, 2025 merger agreement effective October 30, 2026, with board approval on both sides. The filing therefore removes the only named path to a business combination and sends the SPAC back to target search. 〔0〕
The clean exit softens the financial damage, but not the strategic setback. Neither side owes a termination fee, and the parties released one another from merger-related claims subject to exceptions. That avoids an immediate breakup payment, but it does not recover the time spent on the failed transaction or provide a replacement target. 〔1〕
Rising Dragon still has a runway, not a transaction. The company says it will continue pursuing an initial business combination within the period allowed by its amended charter, which can run through October 15, 2027. That keeps the shell alive, but the filing offers no new target, signed letter of intent, or evidence that a replacement deal is close. 〔2〕
Bottom line: This is a clear setback because the centerpiece merger has been abandoned after an extended process. The absence of a termination fee preserves optionality, but the company now has to rebuild the deal story from zero rather than advance the one investors had been waiting for.
New target or replacement merger before October 15, 2027
