Beat — Adjusted EPS $4.10 vs ~$4.00 consensus
Waters earnings beat on revenue and adjusted EPS, with every 2026 guidance metric raised as organic growth and integration momentum strengthen.
Waters is in the middle of a major transformation: it is integrating the former BD Biosciences and Diagnostic Solutions businesses into a broader life-sciences and diagnostics platform, while trying to prove that the enlarged company can still produce strong organic growth. The BDS combination closed on February 9, 2026 and was intended to expand Waters beyond analytical instruments into biosciences, diagnostics and related tools.
The quarter beat on both the core business and the acquired base. Revenue reached $1.767 billion, $14 million above the company’s guidance midpoint, while organic revenue grew 9% reported and 10% in constant currency. Adjusted EPS was $4.10, up 21% year over year and above the roughly $4.00 consensus.
| Figure | Q3 2026 | Q3 2025 | Consensus / guide |
|---|---|---|---|
| Revenue (Overall Financial Results) | $1.767B | $0.800B | ~$1.75B |
| Adjusted EPS (Financial Highlights) | $4.10 | $3.40 | ~$4.00 |
| Organic constant-currency growth (Financial Highlights) | 10% | — | — |
| FY26 reported revenue guide (Financial Guidance) | $6.479B–$6.497B | — | ~$6.46B |
| FY26 adjusted EPS guide (Financial Guidance) | $14.60–$14.70 | — | ~$14.58 |
The most important signal is the breadth of the guidance increase. Waters raised every component of its full-year 2026 outlook, including a $43 million increase to the midpoint of reported revenue guidance and higher organic growth, acquired-business revenue and adjusted EPS expectations. That is stronger than simply benefiting from a good quarter: management is saying the improvement is carrying into the remainder of the year. The revised full-year revenue and EPS midpoints also sit above published consensus estimates.
The organic engine is doing more of the work than the headline acquisition growth suggests. Analytical Sciences grew 9% in constant currency, with instruments up 10% and chemistry consumables up 12%; the acquired BDS businesses produced $896 million of revenue versus $885 million on a comparable basis, roughly 1% growth. That combination matters because it shows Waters is not relying only on consolidation math: its legacy business is accelerating while the acquired platform is at least holding together during integration. 〔0〕
The caveat is that the acquisition still makes reported profitability and cash flow look messy. GAAP diluted EPS was only $0.82 because of purchase-accounting charges, acquisition costs and restructuring, while nine-month operating cash flow and adjusted free cash flow fell from the prior-year figures. Those are not signs that the quarter’s underlying adjusted execution failed, but they show the enlarged Waters still has a substantial integration and balance-sheet burden to work through. The company also announced the acquisition of MOBILion Systems, adding a proteomics-oriented technology to its mass-spectrometry portfolio, which extends the strategy but adds another integration item. 〔1〕
Bottom line: This is a clear execution beat that strengthens Waters’ post-BD integration story: organic growth is healthy, the acquired businesses are stable, and management raised the full-year framework above expectations. The main unresolved issue is whether those gains can translate into cleaner GAAP earnings and cash generation as the acquisition burden fades.s
