Driven Brands Holdings Inc. (DRVN) · Nov 3, 2026 · Restatement
Restatement — Prior statements unreliable; no completion timeline; 2026 EBITDA cut to $410-$430M
Driven Brands’ restatement has expanded into another filing delay, at least $50 million of 2026 costs and lower EBITDA and EPS guidance.
Driven Brands is a North American automotive-services and franchise platform, with Take 5 as its clearest growth engine, trying to expand locations and generate cash while already working through a prior restatement and material control weaknesses. Its February 2026 restatement had already delayed filings and created a reporting overhang; the company’s second-quarter update still assumed roughly $35 million-$45 million of 2026 restatement costs.
The accounting problem has materially widened rather than moved toward closure. Driven now says errors affect fiscal 2023, 2024, 2025 and multiple 2026 quarterly periods, with fixed assets, depreciation, impairment, leases and related items involved; the affected statements “should not be relied upon.” 〔0〕 This is not a routine cleanup: it follows a prior restatement and the company still has no completion date. 〔1〕
The restatement is now interfering with the operating model, not just historical reporting. Driven will miss the November 5 Form 10-Q deadline, delay its third-quarter earnings call, temporarily halt share repurchases and has been unable to issue some Franchise Disclosure Documents. That is constraining new franchise openings in the third and fourth quarters and is expected to continue until the restatement and updated disclosures are complete. 〔2〕
The financial outlook confirms a real operating and cost setback. Revenue and free-cash-flow ranges are unchanged, and Take 5 still posted 4.9% same-store sales growth in the quarter, but the profit outlook is lower and the accounting work is costing more. Restatement-related costs are now expected to be at least $50 million in 2026 versus the prior high end of $45 million, with additional costs expected in 2027.
| Metric | Updated FY 2026 | Prior FY 2026 |
|---|---|---|
| Driven Brands same-store sales (Outlook) | 1.0–1.5% | Flat–2.0% |
| Revenue (Outlook) | $1.95–$2.05B | $1.95–$2.05B |
| Adjusted EBITDA (Outlook) | $410–$430M | $430–$460M |
| Adjusted diluted EPS (Outlook) | $1.10–$1.20 | $1.15–$1.25 |
| Free cash flow (Outlook) | $125–$145M | $125–$145M |
| Restatement costs (Outlook) | $50M+ | $35–$45M |
Take 5 remains an operating bright spot, but it does not offset the control failure. The brand delivered its 25th consecutive quarter of same-store-sales growth and added 27 units, yet the broader company story is now dominated by unreliable historical accounts, an open-ended remediation process, higher costs and impaired franchise expansion. The filing therefore changes the business narrative from “working through a known restatement” to “still unable to establish reliable reporting or a clear finish line.”
Bottom line: This is a major deterioration in the company’s business situation, not merely another delayed report. The healthy Take 5 trends and unchanged revenue and cash-flow outlooks are outweighed by the expanded restatement, continuing filing uncertainty, disrupted franchise growth and lower profit guidance.
