Beat — Adjusted EPS $0.21 vs ~$0.18 consensus
Clarivate’s Q3 earnings beat expectations, with improving recurring growth and debt reduction offsetting weaker cash flow and portfolio-driven revenue declines.
Clarivate is now a focused two-segment data and software company built around Academia & Government and Intellectual Property, using subscription products and AI tools to replace divested or declining transactional businesses. The Life Sciences & Healthcare sale was already known before this release, so the strategic reset itself is partly priced into the event.
The quarter cleared the earnings bar. Total revenue of $567.9 million was roughly in line with the published consensus of about $566.8 million, while adjusted diluted EPS of $0.21 exceeded the roughly $0.18 expectation. The filing states, “Adjusted net income, including LS&H, was $136.0million, or $0.21per diluted share, compared to $119.3million, or $0.18per diluted share.”
| Metric | Q3 2026 | Q3 2025 | Consensus |
|---|---|---|---|
| Revenue, including discontinued operations (Selected Financial Information) | $567.9M | $623.1M | $566.8M |
| Adjusted diluted EPS (Selected Financial Information) | $0.21 | $0.18 | $0.18 |
| Adjusted EBITDA, continuing operations (Selected Financial Information) | $218.2M | $222.2M | |
| Free cash flow (Selected Financial Information) | $110.2M | $115.5M |
The underlying business is improving, but only gradually. Continuing-operations organic revenue rose 0.4%, organic recurring revenue rose 1.3%, and organic ACV rose 1.8%; that is credible progress toward a subscription-led model, but not yet a high-growth recovery. The tradeoff is visible in transactional revenue, which fell 12.4% organically as Clarivate winds down lower-quality products and migrates customers toward subscriptions. The filing says, “Recurring revenues, which consist of subscription and re-occurring revenues, increased 1.3% organically, or $5.7million.”
Margins show better execution, while cash conversion remains the weak spot. Continuing-operations adjusted EBITDA margin expanded to 45.3% from 41.9%, helped by cost control and portfolio pruning, but adjusted EBITDA itself declined modestly and nine-month free cash flow fell 15.6% year over year. The filing reports, “Free cash flow including discontinued operations for the first nine months of 2026 was $233.1million compared to $276.1million in the prior year period.”
The guidance update is mostly a portfolio recast, not a clean operating upgrade. Full-year revenue and EBITDA guidance now exclude LS&H for the fourth quarter, while the nine-month contribution remains in full-year EPS and free cash flow. Relative to the prior outlook, the implied continuing-business ranges are broadly maintained, but free cash flow is lower because of transaction timing, working-capital effects, and one-time costs. The divestiture does improve financial flexibility: Clarivate received $488.4 million of net cash proceeds and plans to apply proceeds and fourth-quarter cash flow toward another roughly $575 million to $600 million of debt repayment.
Bottom line: This was a genuine earnings beat with improving recurring growth and margins, but the business is still replacing lost revenue rather than accelerating meaningfully. The event modestly strengthens the turnaround story; it does not rewrite it.
