$250M business combination — Spider Digital valued at $250 million; 25 million PubCo shares
Starlink AI Acquisition’s merger announcement gives the SPAC a $250 million crypto mining-pool target, while funding and closing remain unresolved.
OTAI is a newly listed $100 million blank-check company that had been searching for its first target, while Spider Digital operates a Singapore-based cryptocurrency mining pool built around proprietary technology and independent block-generation capabilities. The SPAC search has produced a real transaction, not just another target discussion. OTAI and Spider Digital signed a definitive business combination agreement, with Spider Digital valued at $250 million and 25 million PubCo shares reserved for its shareholders. 〔0〕 This advances OTAI from a cash shell to a defined operating-company story, which is a genuine improvement over the pre-filing situation.
The deal has less funding certainty than the headline implies. There is no minimum cash condition, and any proposed $5 million to $50 million transaction financing is not required to close. 〔1〕 That makes the announcement more of a pathway to becoming public than proof that Spider Digital will emerge with meaningful new capital to expand its mining-pool business.
Execution risk remains high, despite shareholder support. OTAI’s sponsor has agreed to vote for the transaction and not redeem its shares, while certain Spider Digital shareholders have also committed to support it. But the merger still needs shareholder approvals, an effective Form F-4, NYSE listing approval, audited financial statements meeting SEC requirements, and at least $5,000,001 of net tangible assets at closing. The agreement also extends OTAI’s deadline to August 11, 2027. 〔2〕
Bottom line: This is a meaningful step forward because OTAI now has a signed target and a defined crypto-mining operating story. It is only modestly positive for the business narrative, however, because valuation, funding, redemptions, regulatory exposure, and closing are still unresolved.
