Black Stone Minerals earnings miss as cash flow and payout rise

Miss — EPS $0.21 vs ~$0.26 consensus; revenue $99.7M vs ~$116.4M

Black Stone Minerals’ Q3 earnings missed consensus, though stronger cash flow, a higher distribution and expanded development plans support the longer-term story.

Black Stone Minerals is in the middle of turning a large Shelby Trough mineral position into a multi-year natural-gas development engine, with Adamas, Revenant and Caturus programs gradually adding drilling activity. The prior Caturus agreement already pointed to a ramp from roughly two gross wells in 2026 toward approximately 12 annually, so the development thesis was established before this release.

FigureQ3 2026Q3 2025Consensus
EPS (Income Statement)$0.21 (-47.5%)$0.40~$0.26
Total revenue (Financial Highlights)$99.7M (-24.7%)$132.5M~$116.4M
Adjusted EBITDA (Adjusted EBITDA reconciliation)$104.1M (+18.1%)$88.1M
Distributable cash flow (Adjusted EBITDA reconciliation)$93.0M (+18.4%)$78.6M
Distribution per unit (Distribution announcement)$0.35 (+9.4% QoQ)

The quarter missed the market’s financial bar. Diluted EPS of $0.21 was below the published consensus of roughly $0.26, while total revenue of $99.7 million trailed expectations near $116.4 million. The main distortion was a $30.2 million derivative loss, including a $29.8 million unrealized loss, versus a $27.3 million gain a year earlier; that pushed reported revenue and net income sharply lower even as underlying cash generation improved.

Underlying cash generation was materially better than GAAP earnings suggested. Adjusted EBITDA rose to $104.1 million and distributable cash flow to $93.0 million, both well above the prior-year quarter. Oil and gas revenue increased 6% sequentially to $122.7 million, helped by higher oil production and pricing, while mineral-and-royalty volumes rose 6% from the second quarter to 34.5 MBoe/d.

The distribution increase is supported, but it does not erase the earnings miss. BSM raised the quarterly payout to $0.35 per unit, up 9% from the prior quarter, with 1.25x coverage. That is a meaningful improvement from the 1.18x coverage reported in Q2, but the higher payout also leaves less room for execution or commodity-price setbacks.

The long-term acreage story advanced, although most of the strategic news was already public. The amended Caturus agreement expands the contract area by 730,000 gross acres to 950,000 gross acres and adds two development areas, but the first new pilot is not expected until the first quarter of 2028 and later activity remains contingent on Caturus electing to proceed. That makes the expansion strategically important but distant and execution-dependent. 〔0〕

Balance-sheet flexibility held, but leverage and funding needs remain relevant. The borrowing base was reaffirmed at $580 million and the partnership remained in covenant compliance, yet debt increased to $197 million by October 30 while cash was only $5.4 million. That is manageable against the facility, but continued acquisitions and development depend on sustained cash generation and access to financing.

Bottom line: This was a financial miss, not a broken operating story. Stronger distributable cash flow, a covered distribution increase and a larger Caturus footprint cushion the result, but the quarter still lands modestly below expectations because reported earnings and revenue fell short by a clear margin.
