Broadwind, Inc. (BWEN) · Nov 2, 2026 · Acquisition
$25M acquisition — $18M base price plus up to $7M earnout; MCM generated $3.7M adjusted EBITDA
Broadwind’s acquisition adds a profitable transmission-and-distribution supplier and higher margins, but the deal also lifts pro forma leverage to 3.7x.
Broadwind is in the middle of a deliberate shift away from wind fabrication and toward power generation and critical infrastructure, using divestitures and bolt-on acquisitions to rebuild around higher-value domestic manufacturing.
This acquisition materially advances that pivot. MCM adds a direct foothold in electrical transmission and distribution, with roughly 95% of its revenue tied to that market and long-standing sole-source or preferred-supplier relationships. MCM generated $16.5 million of trailing revenue and $3.7 million of adjusted EBITDA at a roughly 23% margin, compared with Broadwind’s standalone trailing adjusted EBITDA of negative $0.1 million. 〔0〕

The economics are attractive, but the balance sheet becomes the immediate constraint. Broadwind paid approximately $21.5 million in cash, financed partly with new borrowings, while the amended credit agreement raises the term-loan margin, changes covenant testing, and temporarily substitutes a minimum excess-availability requirement. The combined company’s 3.7x net leverage is meaningfully higher than Broadwind’s earlier post-restructuring position, so the deal’s value now depends on integrating MCM without losing its unusually high margin.
This is more than a routine closing notice because the acquired business changes the quality of the platform. MCM adds about 50 employees, a 37,000-square-foot Alabama facility, domestic sourcing, and a customer base built over decades. It also gives Broadwind exposure to the grid-investment and data-center power-demand theme it had been positioning around, rather than merely adding volume to its existing operations. 〔1〕
Bottom line: Broadwind has executed the bolt-on its strategic plan was pointing toward: a profitable, higher-margin grid business that improves the mix and makes the power pivot tangible. The tradeoff is a heavier debt load and a meaningful integration test, but the transaction is clearly ahead of the prior standalone business trajectory.
