$1.2M liquidity release — $1.2M restricted cash released; A-2 carries 9% interest
Inuvo’s debt exchange releases $1.2M for operations, but the new note carries higher interest and meaningful lender redemption rights.
Inuvo is trying to pivot from collapsing Legacy Search revenue toward its higher-margin AI advertising platform, IntentKey, but it remains cash-flow constrained: its latest public quarter showed an 80% year-over-year decline in Legacy Search revenue, recurring operating cash outflows, and only about $0.9 million of unrestricted cash against $6.2 million of restricted cash.
The immediate benefit is real liquidity. The company exchanged $1.2 million of its Streeterville B Note for a new A-2 Note with $1.308 million of principal, releasing the full $1.2 million from a controlled bank account. That gives Inuvo more usable cash to fund operations while it tries to scale the AI advertising business.
| Metric | A-2 / release | Prior B Note |
|---|---|---|
| Principal exchanged (Transaction description) | $1.2M | $1.2M |
| New principal (Note terms) | $1.308M | — |
| Interest rate (Note terms) | 9.00% | 5.00% |
| Restricted cash released (Transaction description) | $1.2M | — |
| Maturity (Note terms) | June 29, 2028 | June 29, 2028 |
The trade-off is more expensive and more demanding debt. The exchanged B Note carried 5% interest, while the A-2 accrues at 9%, and the new note adds monthly and trading-volume-based redemption rights beginning December 29, 2026. 〔0〕 〔1〕 The principal also rises by $108,000, so this is a liquidity release financed with a higher future repayment burden, not a balance-sheet repair.
This is partly an execution of an already-known financing mechanism, not a new funding source. Inuvo’s June financing documents contemplated additional A Notes and tied the release of restricted cash to future note exchanges, so the direction was known; the new information is that $1.2 million has now been unlocked.
Bottom line: The exchange modestly advances Inuvo’s near-term operating runway, which matters for a cash-starved AI advertising pivot. But it does so by increasing interest expense and lender control, so it improves liquidity without materially changing the underlying financing pressure.
Limited redemptions can begin December 29, 2026
