Cooper-Standard rights plan protects $215M tax assets before vote

$215M tax shield — ~$215M estimated U.S. Tax Benefits; 4.9% ownership trigger

Cooper-Standard adopted a new tax-benefits rights plan to protect roughly $215 million of NOLs and other tax assets, largely confirming a previously signaled move.

Cooper-Standard is a heavily indebted automotive supplier trying to convert new OEM awards, cost actions and higher vehicle content into steadier margins and cash flow; its latest reported quarter showed positive free cash flow but lower adjusted EBITDA, while full-year guidance remained intact.

The filing protects a valuable tax asset, not the operating turnaround. The board adopted a Section 382 rights plan aimed at preserving approximately $215 million of U.S. tax benefits that could offset future taxable income. The mechanism blocks an unapproved holder or group from reaching 4.9% ownership and would give other rights holders a 50% discounted share-purchase right if triggered. 〔0〕 〔1〕

The main signal is continuity, not a new strategic move. Cooper-Standard had already disclosed in April 2026 that its prior tax-benefits plan was due to expire on November 5, 2026 and that a new long-term plan could follow. The current filing therefore formalizes an expected protection mechanism, with shareholder approval required by November 1, 2027 and the plan otherwise running to November 1, 2029. 〔2〕

The plan preserves optionality but does not prove the tax benefits will be realized. Cooper-Standard still needs future taxable income to use the shield, and the filing does not change revenue, margins, debt, liquidity or customer demand. It also gives the board discretion to exempt transactions or holders, so the practical constraint is meaningful but not absolute. 〔3〕

Bottom line: This is sensible balance-sheet housekeeping that protects a potentially meaningful tax asset, but it does not advance the core automotive turnaround and was largely anticipated. The business story is essentially unchanged.

The next material business update is Cooper-Standard’s third-quarter 2026 earnings report, scheduled for November 4, 2026.
