In line — Normalized FFO $0.13; updated guide $0.46-$0.52 after $0.12/share fee adjustment
DHC earnings show sharp SHOP occupancy and NOI gains, a new Ensign lease, and lower reported FFO guidance after a fee-accounting change.
DHC is midway through a multi-year turnaround: it has moved its senior-housing operating portfolio to new third-party operators, sold non-core assets, and used the resulting cash to improve its debt maturity profile. The market already knew the operator-transition strategy was beginning to lift SHOP performance; June guidance had raised the 2026 SHOP NOI range to $185 million-$195 million and normalized FFO to $0.56-$0.62 per share.
The operating turnaround is still producing real gains. Same-property SHOP occupancy rose to 84.4% from 82.4% a year earlier, while average monthly rates increased 5.2%; that drove a 50.4% increase in same-property SHOP cash-basis NOI to $48.0 million.
The quarter was broadly in line with the trajectory investors already had. Normalized FFO was $0.13 per share, up from $0.02 a year earlier, and consolidated same-property cash-basis NOI rose 25.6% to $77.9 million. That confirms execution, but the direction was already visible in the first-half results and prior guidance rather than representing a new change in the business story.
The headline FFO guidance reduction is mostly an accounting presentation change, not an operating reset. DHC now includes estimated incentive management fees in Adjusted EBITDAre, Normalized FFO and CAD; the full-year estimate is $29.3 million, or $0.12 per share. On an apples-to-apples operating basis, SHOP guidance actually rose by $5 million at the midpoint and planned SHOP recurring capital spending fell by $10 million at the midpoint.

The portfolio mix is improving, but not uniformly. DHC converted seven skilled-nursing facilities into a 15-year triple-net lease with Ensign, adding expected first-year rent of $8 million while reducing future capital needs. Medical-office and life-science leasing also produced 25.2% rent spreads on 130,000 square feet, but same-property cash-basis NOI in that segment fell 1.6% year over year and occupancy declined 120 basis points sequentially after a tenant vacancy.
The balance sheet is better than the income-statement headline suggests, but leverage remains material. Net debt to annualized Adjusted EBITDAre improved to 8.2x from 10.7x a year earlier, and interest coverage improved to 2.0x from 1.2x; however, DHC still carries roughly $2.44 billion of debt and has a $500 million maturity in February 2028.
Bottom line: DHC is executing the senior-housing turnaround and improving asset-level cash flow, but this quarter mostly confirms an already-known recovery rather than rewriting the story. The reported FFO-guide cut is chiefly the newly included management fee, while the underlying SHOP outlook improved modestly.**
